Common use of Success on Merits Clause in Contracts

Success on Merits. To the extent that a Person has been successful, on the merits or otherwise, in the defense of any Proceeding referred to in Sections 7.1 or 7.2, or in defense of any claim, issue or matter therein, such Person shall be indemnified against expenses (including attorneys' fees) actually and reasonably incurred by such Person in connection therewith.

Success on Merits. To the extent that a Person has been successful, on the merits or otherwise, in the defense of any Proceeding referred to in Sections 7.1 or 7.2, 3.2 or in defense of any claim, issue or matter therein, such Person shall be indemnified against expenses (including attorneys' fees’ fees and disbursements) actually and reasonably incurred by such Person in connection therewith.

Success on Merits. To the extent that a Person has been successful, on the merits or otherwise, in the defense of any Proceeding action, suit or proceeding referred to in Sections 7.1 Paragraph 8.01 or 7.28.02, or in defense of any claim, issue or matter therein, such Person shall be indemnified against expenses (including attorneys' fees) accrued to or actually and reasonably incurred by such Person in connection therewith.

To the extent that a Person has been successful, on the merits or otherwise, in the defense of any Proceeding action, suit or proceeding referred to in Sections 7.1 9.1 or 7.29.2, or in defense of any claim, issue or matter therein, such Person shall be indemnified against expenses (including attorneys' ’ fees) actually and reasonably incurred by such Person in connection therewith.

To the extent that a Person has been successful, on the merits or otherwise, in the defense of any Proceeding action, suit or proceeding referred to in Sections 7.1 Paragraph 8.01 or 7.28.02, or in defense of any claim, issue or matter therein, such Person shall be indemnified against expenses (including attorneys' fees) actually and reasonably incurred by such Person in connection therewith.

To the extent that a Person has been successful, on the merits or otherwise, in the defense of any Proceeding action, suit or proceeding referred to in Sections 7.1 Section 8.01 or 7.28.02, or in defense of any claim, issue or matter therein, such Person shall be indemnified against expenses (including attorneys' fees) actually and reasonably incurred by such Person in connection therewith.

Success on Merits. To the extent that a Person has been successful, on the merits or otherwise, in the defense of any Proceeding action, suit, or proceeding referred to in Sections Section 7.1 or 7.27.2 above, or in defense of any claim, issue issue, or matter therein, such Person shall be indemnified against expenses (including attorneys' attorney and legal fees) actually and reasonably incurred by such Person in connection therewith.
