SUCCESSOR AGENCY. It is intended that ACTC shall become the successor agency to the Alameda County Congestion Management Agency and the Alameda County Transportation Improvement Authority as soon as reasonably and legally possible. ACTC is the successor agency to the Alameda County Transportation Authority.
SUCCESSOR AGENCY. The City controls the Successor Agency. Until Closing, City shall, upon learning of any fact or condition which would cause any of the warranties and representations in this Section 206.1 not to be true as of the Closing, immediately give written notice of such fact or condition to Developer. Such exception(s) to a representation or warranty shall not be deemed a breach by City hereunder, but shall constitute an exception which Developer shall have a right to approve or disapprove if Developer, in its reasonable discretion, determines such exception would materially adversely affect the value, development, insurability, financing, maintenance, and/or operation of the Project by Developer or Developer’s exposure to risk or liability with respect to the Project. If Developer elects, acting in its sole discretion, to close the Escrow following disclosure of such information, City’s representations and warranties contained herein shall be deemed to have been made as of the Closing, subject to such exception(s). If, following the disclosure of such information, Developer, acting in its sole discretion, elects to not close Escrow, then Developer shall give notice to City of such election within thirty (30) days after disclosure of such information, Escrow Agent shall return all funds and documents to the party that delivered the same, and this Agreement and the Escrow shall thereafter automatically terminate, and neither party shall have any further rights, obligations or liabilities hereunder. The representations and warranties set forth in this Section 206.1, subject to any such exceptions, shall survive the Closing.
SUCCESSOR AGENCY. The Council is hereby designated the successor in interest to all remaining obligations, powers, duties, responsibilities, benefits and interests of any sort, including, but not limited to, any rights, title and interest in real and personal property, of the Sacramento Regional Area Planning Commission.
SUCCESSOR AGENCY upon serving Developer any notice of default or any other notice under the provisions of or with respect to this Agreement, shall also serve a copy of such notice upon any Holder at the address provided to Successor Agency pursuant to this Agreement, and no notice by Successor Agency to Developer hereunder shall affect any rights of a Holder unless and until a copy thereof has been so served on such Holder.

SUCCESSOR AGENCY. The Authority is for all purposes the successor to the Alameda County Solid Waste Management Authority created by Joint Powers Agreement effective September 2, 1976. The Authority has succeeded to all of the assets, liabilities, contracts and other obligations of the Alameda County Solid Waste Management Authority. The Authority has also assumed all powers, duties, and responsibilities specified in the Agreement regarding the Alameda County Solid Waste Management Plan.
SUCCESSOR AGENCY. The Agency was dissolved on February 1, 2012 in accordance with ABX1 26. On February 1, 2012, the City assumed the duties and obligations set forth in ABX1 26 as “successor agency” (as defined in ABX1 26) for the Agency (the “Successor Agency”), including, without limitation, the obligations of the Agency under this Agreement and the Related Documents to which the Agency was a party. References throughout this Agreement to “Agency” shall mean the Agency or the Successor Agency as the context may require. Pursuant to the provisions of ABX1 26, the Successor Agency is bound by the covenants and agreements of the Agency set forth in this Agreement and the other Related Documents to which the Agency was a party.
SUCCESSOR AGENCY. A reference to the Texas Juvenile Probation Commission (Commission) or the Texas Youth Commission is a reference to any successor agency or entity that may come into existence during the term of this Contract. All rights, duties and obligations set forth herein shall be unaffected as to the parties to this Contract and shall transfer to the successor of the Texas Juvenile Probation Commission in all respects.
