Successor Fiscal Agent, etc. Without the prior written consent of the Bank (which consent shall be deemed given with respect to any Bank Affiliate and shall not be unreasonably withheld, conditioned or delayed), the Agency shall not agree to any successor Fiscal Agent or to the appointment of a co-Fiscal Agent, Paying Agent, tender agent, authenticating agent or Registrar under the Fiscal Agent Agreement.
