Successors and Assians. All terms of this Agreement shall be binding upon, inure to the benefit of, and be enforceable by the parties and their respective legal representatives, successors, and assigns.

Successors and Assians. This Agreement shall bind and inure to the benefit of the Company and the Purchaser and the respective successors, permitted assigns, heirs and personal representatives of the Company and the Purchaser, provided that the Company may not assign its rights or obligations under this Agreement to any Person without the prior written consent of the Purchaser, and provided further that the Purchaser may not assign its rights or obligations under this Agreement to any Person (other than a direct or indirect wholly-owned subsidiary of the Purchaser) without the prior written consent of the Company, which consent shall not be unreasonably withheld or delayed. In addition, and whether or not any express assignment has been made, the provisions of this Agreement which are for the Purchaser's benefit as a purchaser or holder of Preferred Stock, Warrants or Shares are also for the benefit of, and enforceable by, any subsequent holder of such Preferred Stock, Warrants or Shares.
