Successors and Assigns and Sale of Interests. The terms and provisions of this Agreement shall be binding upon, and, subject to the provisions of this Section 9.1, the benefits thereof shall inure to, the parties hereto and their respective successors and assigns; provided, however, that the Borrower shall not assign this Agreement or any of its rights, duties or obligations hereunder without the prior written consent of the Lender, and the Lender shall not delegate its obligations or duties hereunder without the prior written consent of the Borrower.
