Common use of Successors and Assigns Participations Clause in Contracts

Successors and Assigns Participations. The terms of this Completion Guaranty shall bind and benefit the legal representatives, successors and assigns of the Administrative Agent, the Lenders and the Completion Guarantors; provided, however, that neither Completion Guarantor may assign this Completion Guaranty, or assign or delegate any of its rights or obligations under this Completion Guaranty, without the prior written consent of the Administrative Agent in each instance. The Lenders may sell or assign participations or other interests in the Loans and this Completion Guaranty, in accordance with Section 12.8 of the Loan Agreement. Also without notice to or the consent of Completion Guarantors, the Administrative Agent and the Lenders may disclose any and all information in their possession concerning Completion Guarantors, this Completion Guaranty and any security for this Completion Guaranty to any actual or prospective purchaser of any securities issued or to be issued by Lenders, and to any actual or prospective purchaser or assignee of any participation or other interest in the Loan Documents, all in accordance with Section 12.14 of the Loan Agreement.

The Lenders Beneficiaries may sell or assign participations or other interests in the Loans Obligations and their respective rights under this Completion GuarantyAgreement, in accordance with Section 12.8 of the Loan Agreement. Also whole or in part, all without notice to or the consent of Completion GuarantorsGuarantor and without affecting Completion Guarantor's obligations under this Agreement. Subject to Section 11 hereof, without notice to or the consent of Completion Guarantor, the Administrative Agent and the Lenders Beneficiaries may disclose any and all information in their possession concerning Completion GuarantorsGuarantor, this Completion Guaranty Agreement and any security for this Completion Guaranty Agreement to any actual or prospective purchaser of any securities issued the Obligations or their rights hereunder or to be issued by Lenders, and any participant therein (provided in each case that such disclosure is subject to any actual or prospective purchaser or assignee of any participation or other interest in the Loan Documents, all in accordance with Section 12.14 of the Loan Agreementa written confidentiality agreement).
