Common use of Successors and Assigns; Third Parties Clause in Contracts

Successors and Assigns; Third Parties. (a) Subject to Section 5, this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns. Except by operation of law, this agreement shall not be assigned by the Company without the prior written consent of the holders of a majority of the Registrable Securities outstanding at the time such consent is required. (b) Nothing in this Agreement, expressed or implied, is intended or shall be construed to confer upon any Person (other than the parties and their successors and permitted assigns and any Person entitled to the benefit of Section 2.7) any right, remedy or claim under or by reason of this Agreement.
