Successors, Transferees and Assigns; Transfers of Notes, etc. This Guaranty shall: (a) be binding upon the Guarantor, and the Guarantor's successors, transferees and assigns; and (b) be enforceable by the Administrative Agent and its successors and assigns, for the benefit of the Secured Parties. Without limiting the generality of the foregoing clause (b), any Lender may ---------- assign or otherwise transfer (in whole or in part) any Loan, Note or Commitment held by it to any other Person or entity as permitted by, and in accordance with the terms of, the Credit Agreement, and such other Person or entity shall thereupon become vested with all rights and benefits in respect thereof granted to such Lender under any Loan Document (including this Guaranty) or otherwise, subject, however, to any contrary provisions in such assignment or transfer, and to the provisions of Sections 9.1 and 9.16 of the Credit Agreement. ------------ ----
