Superseding Effect. This Agreement supersedes any prior agreement or understanding between the parties with respect to the subject matter hereof.
Superseding Effect. By acceptance of this Conveyance, Assignee agrees, for itself and its successors and assigns, immediate and remote, that the timing of payment, accrual of interest and reporting requirements with respect to the Royalty Interest shall be as provided by the terms of this Conveyance and not as prescribed by the Oklahoma Production Revenue Standards Act, as amended, codified at Title 52, Section 570.1, et seq. of the Oklahoma Statutes, and any similar Legal Requirement.
Superseding Effect. This Agreement reflects the entire agreement of the parties with respect to the development of the Development Property, and supersedes in all respects all prior agreements of the parties, whether written or otherwise, with respect to the development of the Development Property.
Superseding Effect. The Agreement supersedes all prior or contemporaneous negotiations, commitments, agreements, and writings, and expresses the entire agreement between the parties with respect to the payment of benefits upon a termination of Executive’s employment with the Company within one year following a Change in Control; provided, however, that the terms of any Benefit Plans will remain applicable to the particular Benefit Plan, except as expressly modified herein. All such other negotiations, commitments, agreements and writings will have no further force or effect, and the parties to any such other negotiation, commitment, agreement or writing will have no further rights or obligations thereunder. The parties agree and acknowledge that the definitions of terms applicable to this Agreement may be different than the definitions of those same terms in Benefit Plans and may result in seemingly contradictory results. The parties agree and acknowledge that such seemingly contradictory results are intended, and that this Agreement shall be governed solely by the terms and definitions set forth herein and that the Benefit Plans shall be governed solely by the terms and definitions set forth in the Benefit Plans, except as expressly modified herein.
Superseding Effect. This agreement supersedes all prior or contemporaneous negotiations, commitments, agreements and writings between Executive and Company or any of its affiliates with respect to the subject matter. All such other negotiations, commitments, agreements and writings will have no further force or effect, and the parties to any such other negotiation, commitment, agreement or writing will have no further rights or obligations thereunder.
Superseding Effect. This Agreement, from and after the date hereof, supersedes and has merged into it all prior oral and written agreements on the same subjects by or between the parties hereto, including without limitation the Letter of Intent, with the effect that this Agreement shall control.
Superseding Effect. By acceptance of this Conveyance, Assignee agrees, for itself and its successors and assigns, immediate and remote, that the timing of payment, accrual of interest and reporting requirements with respect to the Royalty Interest shall be as provided by the terms of this Conveyance and not as prescribed by Subchapter J (Payment for Proceeds of Sale), Section 91.401, et seq., and Subchapter L (Royalty Reporting Standards), Section 91.5001, et seq., of the Texas Natural Resources Code, and any similar Legal Requirement.
Superseding Effect. This Agreement reflects the entire agreement of the parties with respect to the items covered by this Agreement, and supersedes in all respects all prior agreements of the parties, whether written or otherwise, with respect to the items covered by this Agreement.
Superseding Effect. This Agreement shall amend and supersede the ------------------ provisions of all other agreements between the Company and Employee relating to the amount of Employee's base salary, including that contained in the salary provision of the Employment Agreement. Except for provisions relating to salary, all written agreements between the Company and Employee shall remain in full force and effect.
Superseding Effect. By acceptance of this Conveyance, Assignee agrees, for itself and its successors and assigns, immediate and remote, that the timing of payment, accrual of interest and reporting requirements with respect to the Royalty Interest shall be as provided by the terms of this Conveyance and not as prescribed by Kansas Statutes Annotated 55-1614 through 55-1622b (the “Act”), or any similar Legal Requirement. Assignee expressly waives any rights it may have under the Act, including, without limitation, interest on payments related to Assignee Proceeds at the rate provided in Kansas Statutes Annotated 55-1614(h) and the reporting requirements provided in Kansas Statutes Annotated 55-1620.
