Common use of Supervision; Books and Records Clause in Contracts

Supervision; Books and Records. Proper and complete books of account of the business of the Company, copies of the Company’s federal, state and local tax returns for each fiscal year, a current schedule of members, this Agreement and the Company’s Certificate of Formation shall be kept under the supervision of the Manager at the principal office of the Manager or at the Service Company. Notwithstanding anything in this Agreement to the contrary, the schedule of members shall only be available for inspection or copying upon the Manager’s consent, which may be withheld in its sole and absolute discretion. Notwithstanding the foregoing, the Manager shall have the benefit of the confidential information provisions of Section 18-305(c) of the Act and the obligation to make Confidential Information available or to furnish Confidential Information shall be subject to paragraph 13.11.
