Common use of Supplemental Documentation Clause in Contracts

Supplemental Documentation. In connection with the execution and delivery of this Agreement, each Grantor shall furnish or cause to be furnished to the Agent on or prior to the Closing Date a certificate, signed by a Responsible Officer of such Grantor dated the Closing Date, certifying that, as of the date of such certificate, all representations and warranties of such Grantor in Section 7 are true and correct and that such Grantor is in compliance with all conditions, agreements and covenants to be observed or performed hereunder.

In connection with the execution and delivery of this Agreement, Agreement each Grantor shall furnish or cause to be furnished to the Agent Trustee on or prior to the Closing Date a certificate, substantially in the form of Annex A hereto, signed by a Responsible an Authorized Officer of such Grantor dated the Closing Date, certifying that, as of the date of such certificate, all representations and warranties of such Grantor in Section 7 3 hereof are true and correct and that such Grantor is in compliance with all conditions, agreements and covenants to be observed or performed hereunder.
