Supplementary Articles. 7.1 This agreement shall take effect after the authorized representative from each party has signed and affixed an official seal (if applicable).
7.2 This agreement consists of three originals with each party retaining one original, all of which have the same legal effect.
Supplementary Articles. 12.1 Attachments of this Contract constitute an integral part of this Contract and shall have the same legal force with the main part of this Contract.
12.2 During the performance of this Contract, if certain drawdown date or repayment date is not a bank working date, such date shall be postponed to the working date following it.
12.3 This contract is executed in two counterparts with each party holding one copy and they are of the same legal force.

In the efforts to guarantee that the debtor perform his obligation under loan contact sign on Jan. 12, 2004 (contract No. 29041100010 hereinafter as main contract) between Shanghai Wanxing Bio-Pharmaceutical Co., Ltd and Party B of this contract , Party A agrees to act as surety. in order to establish both parties’ rights and liabilities, both parties agreed to enter this contract in accordance with the regulations of <<contract law>>, <<general loan regulation>> and other related bylaws.
Article 1. Party A’s representations and warranties
1.1 in accordance with laws of P. R. China, Party A has the qualification to act as surety.
1.2 Party A has the enough financial capability to act as surety. Liabilities of surety shall not be changed by any change of financial conditions or other orders, and shall not be reduced or relieved no matter any others agreements signs by the surety with other parties.
1.3 Party A is in full knowledge of the debtor’s intention of the loan, and wish to act as the surety voluntarily. All the contents under this contract are his true will.
1.4 In case the debtor fails in performing his obligation to return the loan and interest on time, Party B has the right to seek money from Party A. Party A shall authorize Party B to transfer money directly from Party A’s bank account in Party B’s branch.
Supplementary Articles. 11.1 During the contract valid period, xxxxxxxx changed business name, legal representative, business address, and no written notice has been provided to lender, which caused all written notice sent from lender according to the information wrote in the contract shall be regarded as received by the Borrower.
11.2 Any party raise to revise the contract to meet the requirement of updated laws and regulations, judicial interpretation, supervision regulations, another party shall provide necessary assistance. Otherwise, unreleased loan fund shall be suspended.

Supplementary Articles. Parties hereto may supplement through negotiation matters not mentioned herein. Any supplementary agreement shall be written and act as a part of this agreement and has the same legal effect. Without limiting this Article 42, the Parties are executing that certain letter agreement of even date herewith concurrently with the execution of this Agreement, and this Agreement shall not take effect unless and until such letter agreement is also executed by the Parties.
Supplementary Articles. 1. This Framework Agreement is the basis of the strategic cooperation between both parties. In the condition that both parties subsequently reach new matters or enter into specific contracts for cooperation, or if there is any discrepancy between the terms of the specific contracts and the matters set forth in this Framework Agreement, the subsequent agreements and specific contracts shall prevail.
2. The modification, termination, and other matters not covered herein shall be separately entered into by both parties in a supplementary agreement upon mutual agreement.
