Supplier Data. SELLER shall provide to BUYER with the number of copies of data as set forth in the Supplier Data Requirement List (“SDRL”) for the GOODS being purchased by BUYER including, but not limited to, commissioning and start- up data, operating and maintenance manuals, drawings and spare parts data, as well as listings of recommended spare parts required for a two (2) year period of operations and for start-up. SELLER is hereby advised by BUYER that POs issued pursuant hereto will only be deemed complete once the BUYER has received the acknowledgement copy of the PO and any Change Orders (if applicable) and all drawings and data specified in the order and specifications. BUYER may elect to withhold or retain amounts otherwise payable pending acceptable receipt of all such requirements.
Supplier Data. Supplier Data made available under this Agreement may include: (i) last sale, quotation and other information relating to securities traded on a number of national securities exchanges that is provided by Securities Information Processors including New York Stock Exchange, Inc. (“NYSE”), the NASDAQ OMX Group, Inc. (“NASDAQ”), and, the Options Price Reporting Authority (“OPRA”), (ii) fundamental data, news, and other financial and business information that are provided by third- party financial information aggregators; and (iii) such other data and/or information provided directly or indirectly by any other third- party source, now or in the future (all of the foregoing third-party providers may collectively be referred to herein as the “Data Supplier(s).” Subscriber acknowledges and agrees that the Data Suppliers may change without prior notice to Subscriber.
Supplier Data. The information regarding historical purchases by Parent and its Subsidiaries from feedstock and chemicals suppliers set forth in Section 2.31 of the Parent Disclosure Schedule represents accurate and complete data.
Supplier Data. Notwithstanding anything to the contrary in the Agreement (including this DPA), Customer acknowledges that Supplier shall have a right to use and disclose data relating to and/or obtained in connection with the operation, support and/or use of the Services for its legitimate business purposes, such as billing, account management, technical support, product development and sales and marketing. To the extent any such data is considered personal data under Data Protection Laws, Supplier is the Controller of such data and accordingly shall process such data in compliance with Data Protection Laws.
Supplier Data. 4.1 Supplier is solely responsible for all Product Data and any other Content it supplies to Novation for inclusion at Marketplace@Novation, including maintenance of such Product Data and Content. Novation will not be responsible for the accuracy or legality of information provided by Supplier for publication at Marketplace@Novation or through the Services, and Novation may at any time at its sole discretion, remove such information from Marketplace@Novation if Novation reasonably believes that the information may cause liability for it. Product Data must not (a) infringe any third party rights, including, but not limited to intellectual property, publicity or privacy, (b) be defamatory, trade libelous, threatening or harassing nor (c) be obscene, indecent or contain pornography.
4.2 Supplier may make its Product Data available to Novation for listing at Marketplace@Novation provided that Supplier provides the Product Data for all Products in the manner and format set forth in the NeoFormat specifications. Novation may digitize, categorize and format the Product Data and post such Product Data at Marketplace@Novation in accordance with Novation’s standard practices for digitization, categorization and formatting of Product Data.
4.3 The Product Data provided by Supplier shall include, as applicable, the manufacturer and distributor Product numbers, manufacturer, extended units of measure, Product descriptions and the specific terms and conditions of Supplier’s sale of Products to Members, subject to the terms and conditions of any contract between Supplier and a Member or Novation with respect to any Product (“Supplier Terms and Conditions”). Novation does not set, approve, control or endorse the Supplier Terms and Conditions.
4.4 If at any time during the term of this Agreement and any renewals or extensions thereof, distributed sales of Supplier’s Products changes and Supplier now ships direct, either through Marketplace@Novation or through other means, Supplier shall upon request from Novation and within ninety (90) days of such request, provide Novation with its Supply Chain Data on a daily basis or at least as often as provided to Members (in electronic form or otherwise) but in no event less than on a monthly basis. Supplier Data. REQUIREMENTS Supplier shall provide to Boeing the documents listed in Attachments 6 and 7 hereto, which are incorporated herein and made a part hereof by this reference. Seller shall comply with the schedules listed in such Attachments.
Supplier Data. Notwithstanding anything to the contrary, Supplier may retain or dispose of Supplier records that may contain Customer Personal Data as reasonably required for Supplier’s legitimate business purposes or as required by applicable law.
SECTION 9: AUDIT RIGHTS
9.1 Subject to this Section 9, Supplier will assist Customer in demonstrating compliance with this DPA by making available upon request of Customer, or of a third party mandated by Customer, information reasonably necessary to demonstrate such compliance. As applicable under Data Protection Laws, Supplier shall immediately inform Customer if, in its opinion, any instructions given pursuant to this Section 9 violate Data Protection Laws.
9.2 Information and audit rights of Customer only arise under Section 9.1 to the extent that the Agreement does not otherwise give Customer information and audit rights meeting the relevant requirements of applicable Data Protection Laws.
9.3 The Parties agree that Supplier may charge Customer at Supplier’s then-current rates for any support provided by Supplier pursuant to this Section 9, which charges shall be paid by Customer in accordance with the terms set out in any written invoicing documentation provided by Supplier to Customer in respect of charges under this Section 9. SECTION 10: DATA TRANSFER
10.1 Supplier may not transfer or authorize the transfer of Data to countries outside the EU and/or the EEA without the prior written consent of Customer. If Customer Personal Data is transferred from a country within the EEA to a country outside the EEA, the Parties shall ensure Customer Personal Data are adequately protected, pursuant to Section 5.1(iii) of this DPA.
