Supplier’s Authorised Representative Sample Clauses
Supplier’s Authorised Representative. The person named on the Quotation will be responsible, on behalf of the Supplier, for all aspects of the delivery of the Works and has the legal power to bind the Supplier in respect of any matters arising in connection with the Works. Any substituted Supplier representative must be notified promptly in writing to TransGrid.
Supplier’s Authorised Representative.
(a) The Supplier warrants that the Supplier’s Authorised Representative is authorised to act on the Supplier's behalf under the Agreement.
(b) The Supplier must, with the Organisation's prior written approval (which must not be unreasonably withheld) or upon the Organisation’s written request:
(i) replace the Supplier's Authorised Representative with another person; or
(ii) delegate to any person any power or duty of the Supplier's Authorised Representative under the Agreement.
(c) The Supplier will replace its Authorised Representative with a representative that is of an equal or higher seniority, experience and skillset as the Authorised Representative being replaced.
(d) Unless otherwise agreed, a replacement Authorised Representative must be appointed no later than 3 Business Days after the previous Authorised Representative ceases to act in that capacity.
Supplier’s Authorised Representative the person designated as such by the Supplier, the first such person being set out in Schedule 4. Supplier's Personnel: all employees, staff, other workers, agents and consultants of the Supplier and of any Sub-Suppliers who are engaged in the provision of the Supplies from time to time. Supplier's Tender: the tender submitted by the Supplier and other associated documentation submitted by the Supplier in relation to its tender. Supplies: the Supplies to be delivered by or on behalf of the Supplier under this agreement, including those described in Schedule 1 (Specification). Sub-Contract: any contract between the Supplier and a third party pursuant to which the Supplier agrees to source the provision of any of the Supplies from that third party. Sub-Supplier: the Suppliers or Suppliers that enter into a Sub-Contract with the Supplier.
