Common use of Supplier’s Representations Clause in Contracts

Supplier’s Representations. SUPPLIER represents and warrants that: (i) compliance with the terms of this Agreement and performance of the Services do not and will not breach or conflict with any other agreement or arrangement to which SUPPLIER is a party; and (ii) during performance of the Services, SUPPLIER will not disclose to SPONSOR, or induce SPONSOR to use, any confidential or proprietary information of a third party without appropriate consent or license from such third party.
