Common use of Supremacy of this Agreement Clause in Contracts

Supremacy of this Agreement. If any of the provisions of this Agreement are inconsistent with or in conflict with any of the provisions of the Constitution of a Company then, to the extent of any such inconsistency or conflict, the provisions of this Agreement shall prevail as between the Shareholders so long as this Agreement remains in force and the Shareholders shall procure that such Constitution is amended accordingly and shall not exercise any rights conferred on them by the Constitution which are or may be inconsistent or in conflict with this Agreement.

Supremacy of this Agreement. If any of the provisions of this Agreement are inconsistent with or in conflict with any of the provisions of the Constitution of a Company then, Articles then to the extent of any such inconsistency or conflict, conflict the provisions of this Agreement shall prevail as between the Shareholders so long as this Agreement remains in force parties and the Shareholders shall procure that such Constitution is amended accordingly use their powers as shareholder to amend the Articles and shall not exercise any rights conferred on them by the Constitution Articles which are or may be inconsistent or in conflict with this Agreement.
