Common use of Surrender of the Company’s Share Certificates; Further Cooperation Clause in Contracts

Surrender of the Company’s Share Certificates; Further Cooperation. At the Closing, Seller will deliver to Buyer its certificates representing all of Company Shares owned by Seller. From time to time after the Closing Date, without further consideration, Seller will execute and deliver such other instruments of conveyance and transfer and take such other action as Buyer reasonably may request to effectuate the transaction contemplated by this Agreement. Seller will furnish Buyer with such information and documents in Seller’s possession or under Seller’s control or that Seller can execute or cause to be executed as will enable Buyer to prosecute any and all pending claims, applications and the like which that be assigned hereunder.
