Common use of Survival of Agreements and Representations Clause in Contracts

Survival of Agreements and Representations. (a) All representations and warranties made herein or in any other Transaction Document shall survive the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby. (b) The covenants and agreements contained in Sections 5.05, 5.07, 5.09, 5.10, 16.04, 16.05, 16.08, 16.09, 16.11 and 16.12, and the obligations of the Lenders under Sections 13.07 and 14.05, shall survive the termination of the Commitments, the expiration of Standby L/Cs and the expiration of the Letter of Credit and, in the case of any Lender that may assign any interest in its Commitment or obligations hereunder, with respect to matters occurring before such assignment, shall survive the making of such assignment to the extent any claim arising thereunder relates to any period prior to such assignment, notwithstanding that such assigning Lender may cease to be a "Lender" hereunder.
