Survival of Closing. The provisions of this Contract shall survive the Closing.
Survival of Closing. All representations and warranties contained herein or made in writing by Borrower and Guarantor in connection herewith shall survive the execution and delivery of this Agreement and of any other Loan Documents.
Survival of Closing. All representations, warranties, agreements and indemnities contained in this Agreement shall survive the closing for one year.

All representations and warranties in this Agreement, including any certificate or Schedule made a part thereof or Exhibit delivered pursuant to this Agreement, shall survive the Closing and continue in full force and effect until the third anniversary of the Closing Date (referred to herein as the "Indemnity Termination Date"). Notwithstanding the foregoing, the provisions of SECTION 2.15 shall continue for six (6) months after the expiration of the applicable statute of limitations for assessment of additional taxes. All claims for indemnification under this Agreement made by either party must be made by the Indemnity Termination Date (other than claims by Purchaser under Section 2.15 which must be made by the expiration of six (6) months after the expiration of the applicable statute of limitations for assessment of additional taxes).
Survival of Closing. The provisions of Sections 2, 3, 4, 5.14, 5.15, 7, 10 and 11 shall survive the CLOSING and CONFIRMATION.
