SURVIVAL OF CLAUSES. The following clauses shall survive the termination or expiry of this Agreement:-
SURVIVAL OF CLAUSES. (a) Subject to any orders of the Court, the termination or avoidance (in whole or in part) of this Deed does not affect its previous operation, or the accrued rights, duties and obligations of the Deed Company or the Deed Administrators.
(b) Despite any other provision of this Deed:
(i) Clauses 5.2 (Interaction with Administration), 5.5 (No Personal Liability), 5.6 (Remuneration and costs), 6.2 (Bar Date), and 17.8 (Governing Law and jurisdiction) of this Deed; and
(ii) clauses 6.7 (Adjudication), 6.8 (Adjudication Claims that may be determined by the Court), 6.9 (Arbitration Claims), 6.10 (Security Interests),6.13 (Abandoned Claims), 11 (Litigation Undertaking), and 12 (Post-Restructuring Litigation Recoveries) of the LTD DOCA, shall take effect on and from the Commencement Date and shall endure without limitation as to time notwithstanding:
(i) the termination of this Deed for any reason whatsoever;
(ii) the removal or replacement of the Deed Administrators; or
(iii) the invalidity of or any defect whatsoever in the appointment of the Deed Administrators.
SURVIVAL OF CLAUSES. Clause 4.18, Clause 13.03, Clause 15.01(c), Clause 16.05, Xxxxxx 25, Xxxxxx 26, Xxxxxx 27, Xxxxxx 28, Xxxxxx 29, Clause 31.01, Clause 32.01, Clause 32.02, Clause 32.03 and this Clause 32.11 shall, unless explicitly provided otherwise, survive for a period of ten (10) years after the termination of this Agreement. Furthermore, in the event that under Xxxxxx 22.03 the Parties decide to complete any on-going Funded Activities, those Clauses of this Agreement necessary and suitable to achieve that objective shall also survive for a period of ten (10) years after the termination of this Agreement. Annex 1 - Term Sheet [Note: This is not a template. Sample provisions are set out below for information purposes only.] This Term Sheet, together with the Funding Proposal [and schedules and annexes] attached hereto, as agreed by the Green Climate Fund (“Fund”) and [the Accredited Entity], shall be reflected in the Funded Activity Agreement to be entered into by the Fund and [the Accredited Entity] in due course. The Parties acknowledge that such Funded Activity Agreement shall also incorporate the terms and conditions of the Accreditation Master Agreement dated [insert date] entered into by the Parties (the “Agreement”) and, as such, any derogation, modification or deviation from those terms is set out below.

SURVIVAL OF CLAUSES. Clause 4.19, Clause 13.03, Clause 15.01(c), Clause 16.05, Xxxxxx 25, Xxxxxx 26, Xxxxxx 27, Xxxxxx 28, Xxxxxx 29, Clause 31.01, Clause 32.01, Clause 32.02, Clause 32.03 and this Clause 32.11 shall, unless explicitly provided otherwise, survive for a period of ten (10) years after the termination of this Agreement. SURVIVAL OF CLAUSES. Termination shall not affect either of the parties’ accrued rights or liabilities, or affect the coming into force or the continuance in force of any provision which is expressly or by implication intended to come into or continue in force on or after such Termination.

SURVIVAL OF CLAUSES. 13.1. Expiry or termination of this Agreement for any reason does not affect the validity and enforceability of this clause, clause 4 (Reporting), clause 5 (Review), clause 6 (Confidentiality), clause 10 (Indemnity), clause 12 (Notices), clause 18 (Governing Law) and clause 19 (Waiver) and the provisions of the Payment Schedule and any Special Conditions set out in the Schedule, which that, by their nature, continue to be relevant (or expressly survive termination).
SURVIVAL OF CLAUSES. The following clauses shall survive the termination or expiry of this Agreement: clauses 1, 4, 5, 7, 8 and 19. Subject to clause 19.2: If the Site is located in England or Wales, this Agreement is deemed made and shall be interpreted in accordance with the laws of England and Wales and the Parties submit to the exclusive jurisdiction of the English and Welsh Courts. If the Site is located in Scotland this Agreement is deemed made and shall be interpreted in accordance with the laws of Scotland and the Parties submit to the exclusive jurisdiction of the Scottish Courts. If the Site is located in Northern Ireland this Agreement is deemed made and shall be interpreted in accordance with the laws of Northern Ireland and the Parties submit to the exclusive jurisdiction of the Northern Irish Courts. The Parties may agree to override clause 19.1.1, 19.1.2 and 19.1.3 and nominate the English and Welsh or Scottish or Northern Irish laws and court jurisdiction to apply to this Agreement irrespective of the location of the Site or Sites. Any such nomination must be in writing and signed by all Parties.
