Survival of Lease. Except as set forth in this Amendment, all other terms and conditions of the Lease shall remain the same and unchanged in full force and effect.
Survival of Lease. It is expressly understood and agreed, that in all other respects the Lease is ratified and reaffirmed and that all of the terms and conditions which have been amended or otherwise modified herein will remain and are in full force and effect in every respect. This Amendment will bind the heirs, administrators, successors and assigns of the respective parties.
Survival of Lease. Notwithstanding anything contained herein to the contrary, with respect to the Lease and the leasehold interest created thereby, except where such action would subject Lender to liability or where it conflicts with the terms of the Loan Documents, the Act, or any federal regulation, Lender hereby agrees that if, prior to the date which is five years after the last date upon which any QREs (as defined in the Lease) relating to the Rehabilitation (as defined in the Lease) of the Real Estate have achieved Placement in Service (as defined in the Lease), which for purposes of this Agreement is anticipated to be [ ], any Lender Party shall take title to the Real Estate by reason of foreclosure or other proceedings brought in lieu of or pursuant to a foreclosure, or by any other manner, the Lease and the Lessee’s rights and enjoyment of possession of the Real Estate shall be and remain undisturbed and unaffected by any foreclosure or other proceedings involving such Lender Party’s interests in the Real Estate to the extent necessary to prevent any recapture of the Historic Tax Credits as described in Sections 47 and 50 of the Code, as amended, passed through to Lessee under the Lease, regardless of whether or not there is any past, current or future default in the performance by Lessee of any terms, covenants, or conditions of the Lease, provided that: (i) following any default of any nature by Lessee under the Lease, which default continues beyond any applicable notice and cure period; or (ii) if Lessee does not pay rent equal to the applicable amount payable pursuant to the Lease, then upon the written request of such Lender Party, the Lessee shall comply with the following provisions within fifteen (15) business days of such written request of such Lender Party and shall continue to comply with such provisions throughout the term of the Lease:
Survival of Lease. The provisions of this section shall survive termination of this Lease.
Survival of Lease. Except as expressly set forth in this First Amendment, the terms and provisions of the Lease shall continue in full force and effect and shall survive in all respects the execution of this First Amendment.
Survival of Lease. All representations, warranties and indemnities contained in this Lease shall survive the termination or expiration of this Lease for a period of twelve (12) months.
Survival of Lease. Except as modified hereby, all of the terms, conditions, agreements, covenants, representations, warranties and indemnities contained in the Lease remain in full force and effect.
Survival of Lease. Landlord and Tenant affirm the recitals stated above and acknowledge and agree that the terms, covenants and conditions of the Lease, as amended by the First Amendment and by this Agreement, continue in full force and effect and that each of them are bound thereby.
Survival of Lease. Except as expressly set forth in this Third Amendment, the terms and provisions of the Lease shall continue in full force and effect and shall survive in all respects the execution of this Third Amendment.
Survival of Lease. Except as expressly set forth in this Fourth Amendment, the terms and provisions of the Lease shall continue in full force and effect and shall survive in all respects the execution of this Fourth Amendment.
