SURVIVAL OF NEWCO. Buyer represents and warrants that it has no plan or intention to, and that it will not, for a period of one year after the Closing Date (the "POST-MERGER CONTINUITY PERIOD"), liquidate Newco, merge Newco with and into another corporation, sell or otherwise dispose of any of the stock of Newco, or cause Newco to sell or otherwise dispose of any of the assets of Seller acquired pursuant to this Agreement, except for dispositions made in the ordinary course of business.

  • Survival of Provisions The provisions contained in paragraphs 3, 5, 6, and 8 of this Agreement shall survive the termination of this Agreement.

  • Survival of Warranties The warranties, representations and covenants of the Company and Investors contained in or made pursuant to this Agreement shall survive the execution and delivery of this Agreement and the Closing and shall in no way be affected by any investigation of the subject matter thereof made by or on behalf of the Investors or the Company.

  • Survival of Obligations Without prejudice to Sections 2(a)(iii) and 6(c)(ii), the obligations of the parties under this Agreement will survive the termination of any Transaction.
