Common use of Survival of Obligations; Return of Confidential Information Clause in Contracts

Survival of Obligations; Return of Confidential Information. Notwithstanding any termination of this Agreement, the obligations of the Parties with respect to Claimed Infringement (Section 5.3) and Confidential Information (Article VII), as well as any other provisions which by their nature are intended to survive any such termination, shall survive and continue to be enforceable. Upon any termination of this Agreement, each Party shall promptly return to each other Party all written Confidential Information, and all copies thereof, of such other Party.

Upon any termination of this Agreement, each Party shall promptly return to each the other Party all written Confidential Information, and all copies thereof, of such the other Party, but may retain one (1) copy for archival purposes.

Notwithstanding any termination of this Agreement, the obligations of the Parties with respect to Claimed Infringement (under Article 2, Article 4, Article 6, Section 5.3) 15.3 and Confidential Information (Article VII)25, as well as under any other provisions which by their nature are intended to survive any such termination, shall survive and continue to be enforceable. Upon any termination of this AgreementAgreement pursuant to Section 25.2. hereof, each Party shall promptly return to each the other Party all written Confidential Information, and all copies thereof, of the other Party which is not covered by a license surviving such other Partytermination.
