Survival of Representations and Warranties; Binding Effect; Indemnity. (a) All covenants, agreements, representations and warranties in the Loan Documents and in the certificates and other instruments delivered to Lender shall survive the execution and delivery of this Loan Agreement and except as otherwise provided therein, shall continue in effect so long as this Loan Agreement, the Loan or any of the instruments described in this Loan Agreement are outstanding. All covenants, agreements, representations and warranties in the Loan Agreement and in such certificates and other instruments shall bind the party making the same and its successors and assigns and shall inure to the benefit of and be enforceable by each party to whom
