Mutual Representations. Each party hereby represents and warrants to the other party as follows:

Each party represents to the other that (a) this Agreement has been duly executed and delivered and constitutes a valid and binding agreement enforceable against such party in accordance with its terms; (b) no authorization or approval from any third party is required in connection with such party’s execution, delivery, or performance of this Agreement; and (c) the execution, delivery, and performance of this Agreement does not violate the laws of any jurisdiction or the terms or conditions of any other agreement to which it is a party or by which it is otherwise bound.

Mutual Representations. Each party represents and warrants to the other that it has the power, capacity and authority to enter into this Agreement and to perform its obligations hereunder and that it has validly entered into this Agreement.

(a) Executive represents and warrants to the Company that the execution, delivery and performance of this Agreement (i) shall not constitute a default under or conflict with any agreement or other instrument to which he is a party or by which he is bound, and (ii) does not require the consent of any person or entity.

Mutual Representations. (a) Executive acknowledges that before signing this Agreement, Executive was given the opportunity to read it, evaluate it and discuss it with Executive’s personal advisors. Executive further acknowledges that the Company has not provided Executive with any legal advice regarding this Agreement.
