Suspension and Termination of Service. 12.1 If we reasonably suspect that you may be engaging in any of the restricted activities as set out in Clause 4 above (Your Duties and Responsibilities) or may be in breach of any of the representations, warranties, these Terms or any terms in any of the other Agreements, we may, without any liability to you, take the following action(s) as we deem necessary, at any time and with immediate effect: (a) report any suspicious or illegal activity to the relevant authorities and/ or UOB AM; (b) cancel or refuse any transactions as per directed/ requested by UOB AM; (c) where applicable, withhold/ forfeit/ withdraw any reward (including in the form of Boost Stars, cash backs, monies) which may release/ have released to you pursuant to any incentive driven missions/ activities/ campaigns under the Investment Service on our Platform; (d) restrict, temporarily or permanently suspend or terminate or close your Account or terminate this agreement and/or the provision of the Services (including the Investment Service) or part thereof to you; and/ or (e) take further steps as we, in our reasonable discretion, may deem necessary, including taking legal action against you. 12.2 We may at any time and without liability to terminate this agreement including the Investment Service under these Terms. In such cases, we will provide you with a written notice in not less than fourteen (14) days. However, in certain cases, we may terminate your Account, our Services (including the Investment Service) under these Terms or this agreement by providing notice with immediate effect. No such termination will affect any instruction given by you which is properly received by us before the date of such notice. 12.3 You may terminate this agreement or your account in relation to the Investment Service with us at any time by providing us with notice via email to xxxxxxx@xxxxxxx.xxx.xx to the Boost customer service team. Further validation will be required to authenticate your identity. However, no such termination will affect any instruction given by you which is properly received by us before the receipt of such notice or any action we may take in relation to your account before the receipt of such notice. 12.4 On termination of any Investment Service under these Terms or this agreement or relationship between you and us: (a) your UOB AM account(s) linked to the Platform will be terminated and you will stop gaining access to your UOB AM account(s) through the Platform. In such instance, any available balance therein will be credited into your designated bank account of choice, subject to receipt of your bank account details and verification thereof; (b) you will stop using any Investment Services offered by eCode on the Platform; (c) you shall, upon our request (acting reasonably), return, destroy or delete any information or documents received from us, including any copies thereof. For the avoidance of doubt, the termination under this Clause 12 will not affect your right to use your electronic wallet account to perform other Transactions under our General T&C (other than the Investment Service-related transactions). 12.5 Termination of this agreement for any reason shall not release you from any liability which, at the time of such termination, has already accrued to us or which is attributable to a period prior to such termination nor preclude us from pursuing any rights and remedies it may have hereunder or at law or in equity with respect to any breach of this agreement.

However, in certain cases, we may terminate your Account, our Services (including the Investment Embedded Digital Bank Service) under these Terms or this agreement by providing notice with immediate effect. No such termination will affect any instruction given by you which is properly received by us before the date of such notice.

12.4 On termination of any Investment Service under these Terms your Boost Bank account(s) linked to the Platform and the Embedded Digital Bank Service, or this agreement or relationship between you and usus under these Terms:
(a) your UOB AM Boost Bank account(s) linked to the Platform will be terminated and you will stop gaining access to your UOB AM Boost Bank account(s) through the Platform. In such instance, any available balance therein will be credited into your designated bank account of choice, subject to receipt of your bank account details Platform and verification thereof;the Embedded Digital Bank Service; and
(b) you will stop using any Investment Services offered by eCode on the Platform;
(c) you shall, upon our request (acting reasonably), return, destroy or delete any information or documents received from us, including any copies thereof. For the avoidance of doubt, the termination under this Clause 12 will not affect your right to use your electronic wallet account to perform other Transactions under our General T&C (other than the Investment Embedded Digital Bank Service-related transactions).
12.4 Notwithstanding anything to the contrary, we may at any time, for any reason whatsoever and without any liability to you:
(a) suspend the Embedded Digital Bank Service or part thereof provided to you; and/or
(b) terminate this Agreement and/or the Embedded Digital Bank Services or part thereof provided to you, by giving written notice to you.
12.5 Termination of this agreement for any reason shall not release you from any liability which, at the time of such termination, has already accrued to us or which is attributable to a period prior to such termination nor preclude us from pursuing any rights and remedies it may have hereunder or at law or in equity with respect to any breach of this agreement.

(a) report any suspicious or illegal activity to the relevant authorities and/ or UOB AM;
(b) cancel or refuse any transactions as per directed/ requested by UOB AM;
(c) where applicable, withhold/ forfeit/ withdraw any reward (including in the form of Boost Stars, cash backs, monies) which may release/ have released to you pursuant to any incentive driven missions/ activities/ campaigns under the Investment Service on our Platform;
(d) restrict, temporarily or permanently suspend or terminate or close your Account or terminate this agreement and/or 14.1.1 if a technical failure affects the provision of the Services (service/s;
14.2 ACM shall not be liable for any delay in performing or any failure to perform any of its obligations in terms of this agreement caused by force majeure, being any cause beyond the control of ACM, or caused by any act or omission of government, road, regulatory or other competent authority, or by any institution owned, controlled or operated by the State, whether such act or omission be official or otherwise.
14.3 This agreement shall terminate –
14.3.1 if cancelled by the Customer on not less than one calendar month’s written notice to Tracker, provided that it may not be cancelled during the first 36 months in respect of the Free Fitment option.
14.3.2 if cancelled by ACM, on not less than one calendar month’s writ- ten notice by Tracker to the Customer to this effect in the event of the Customer/authorised user being in breach of any term of this agreement including the Investment Service) or part thereof any operating instructions all of which are agreed to yoube material; and/ or
(e) take further steps as we14.3.3 automatically, in our reasonable discretion, may deem necessary, including taking legal action against you.
12.2 We may at any time without prior notice and without liability on the part of ACM, in the event of the Customer/authorised user using the service for any purpose other than the location of the vehicle as intended in 5.1, or using the Alert service or the ACM service in any manner deemed by ACM in it’s sole and absolute discretion to be inappropriate (and the Customer hereby indemnifies and agrees to hold ACM harmless against any claim that may be made against Tracker as a result of such improper use of the service and/or the ACM service).
14.4 If this agreement is cancelled by ACM under 14.3.2 or has termi- nated automatically under 14.3.3, ACM shall be entitled, if the Customer has not completed his minimum contract period, to claim and recover from the Customer an amount equal to the subscription charges that would have been payable by the Customer for the remaining minimum contract period. This agreement shall not terminate automatically in the event of the loss, theft or damage to the hardware or to the vehicle that it is fitted to.
14.5 Should the Customer wish to terminate this agreement including during the Investment Service under these Terms. In such casescontract period as set out in 2.1.13 above, we will provide you with a written notice in not less than fourteen (14) days. HoweverACM shall be entitled, in certain cases, we may terminate your Account, our Services (including the Investment Service) under these Terms or this agreement by providing notice with immediate effect. No such termination will affect without prejudice to any instruction given by you which is properly received by us before the date of such notice.
12.3 You may terminate its rights arising out of this agreement or your account in relation law, to accept the Customer’s termination, to suspend the provision to the Investment Service with us at any time by providing us with notice via email Customer of the services, and to xxxxxxx@xxxxxxx.xxx.xx recover from the Customer upon demand, as liquidated damages, an amount equal to the Boost customer service team. Further validation will be required to authenticate your identity. However, no such termination will affect any instruction given by you which is properly received by us before the receipt of such notice or any action we may take in relation to your account before the receipt of such notice.
12.4 On termination of any Investment Service under these Terms or this agreement or relationship between you and us:
(a) your UOB AM account(s) linked to the Platform will be terminated and you will stop gaining access to your UOB AM account(s) through the Platform. In such instance, any available balance therein will be credited into your designated bank account of choice, subject to receipt of your bank account details and verification thereof;
(b) you will stop using any Investment Services offered by eCode outstanding amount on the Platform;
(c) you shallhardware that would have been payable by the Customer to ACM, upon our request (acting reasonably), return, destroy or delete any information or documents received from us, including any copies thereof. For the avoidance of doubt, the termination under this Clause 12 will not affect your right to use your electronic wallet account to perform other Transactions under our General T&C (other than the Investment Service-related transactions)but for early termination.
12.5 Termination of this agreement for any reason shall not release you from any liability which, at the time of such termination, has already accrued to us or which is attributable to a period prior to such termination nor preclude us from pursuing any rights and remedies it may have hereunder or at law or in equity with respect to any breach of this agreement.
