Common use of Suspension of Access Clause in Contracts

Suspension of Access. In addition to any other suspension or termination rights of WKFS pursuant to this Agreement, WKFS may suspend or terminate Customer’s access to and/or use of, or otherwise modify, the Application and/or any component thereof, and/or any Online Account or any Online Account Access Information without notice (a) in the event Customer (including any Authorized User, Third-Party Service Provider or other person or entity acting through or on behalf of Customer) is determined by WKFS, in WKFS’s sole judgment, to have or attempted to have damaged, harmed or misused WKFS’s software, server, network or other systems; or (b) as necessary or appropriate to comply with any law, regulation, court order, or other governmental request or order or otherwise protect WKFS from potential legal liability or harm to its business. WKFS will use commercially reasonable efforts to notify Customer of the reason(s) for such suspension or termination action as soon as reasonably practicable unless such action is due to subsection (a) hereof. In the event of a suspension (other than due to subsection (a) hereof), WKFS will promptly restore Customer’s access to the Application as soon as the event giving rise to the suspension has been resolved as determined in WKFS’s discretion. Nothing contained in this Agreement will be construed to limit WKFS’s actions or remedies or act as a waiver of WKFS’s rights in any way with respect to any of the foregoing activities. WKFS will not be responsible for any loss or damages incurred by Customer as a result of any termination or suspension of access to or use of the Application as set forth in this Agreement.

In addition to any other suspension or termination rights of WKFS CCH SFS pursuant to this Agreement, WKFS CCH SFS may suspend or terminate Customer’s access to and/or use of, or otherwise modify, the Hosted Application and/or any component thereof, and/or any Online Account or any Online Account Access Information without notice (a) in the event Customer (including any Authorized User, Third-Party Service Provider Named User, Client or other person or entity acting through or on behalf of Customer) is determined by WKFSCCH SFS, in WKFS’s CCH SFS’ sole judgment, to have or attempted to have damaged, harmed or misused WKFS’s CCH SFS’ software, server, network or other systems; or (b) as necessary or appropriate to comply with any law, regulation, court order, or other governmental request or order or otherwise protect WKFS CCH SFS from potential legal liability or harm to its business, or (c) if Customer has obtained unauthorized access to the Hosted Application as set forth in subsection 2.8. WKFS CCH SFS will use commercially reasonable efforts to notify Customer of the reason(s) for such suspension or termination action as soon as reasonably practicable unless such action is due to subsection (a) hereof. In the event of a suspension (other than due to subsection (a) hereof), WKFS CCH SFS will promptly restore Customer’s access to the Hosted Application as soon as the event giving rise to the suspension has been resolved as determined in WKFS’s CCH SFS’ discretion. Nothing contained in this Agreement will be construed to limit WKFS’s CCH SFS’ actions or remedies or act as a waiver of WKFS’s CCH SFS’ rights in any way with respect to any of the foregoing activities. WKFS CCH SFS will not be responsible for any loss or damages incurred by Customer as a result of any termination or suspension of access to or use of the Hosted Application as set forth in this Agreement.

WKFS WK will use commercially reasonable efforts to notify Customer of the reason(s) for such suspension or termination action as soon as reasonably practicable unless such action is due to subsection (ai) hereof. In the event of a suspension (other than due to subsection (ai) hereof), WKFS WK will promptly restore Customer’s access to the Application TeamMate as soon as the event giving rise to the suspension has been resolved as determined in WKFSWK’s discretion. Nothing contained in this Agreement will be construed to limit WKFSWK’s actions or remedies or act as a waiver of WKFSWK’s rights in any way with respect to any of the foregoing activities. WKFS WK will not be responsible for any loss or damages incurred by Customer as a result of any termination or suspension of access to or use of the Application TeamMate as set forth in this Agreement.
