Common use of Suspension or Termination of Services Clause in Contracts

Suspension or Termination of Services. Netradyne may, directly or indirectly, by use of any lawful means, including by use of a disabling device, suspend, terminate or otherwise deny Customer's, any Authorized User's or any other Person's access to or use of all or any part of the Driveri Services or Netradyne Materials, without incurring any resulting obligation or liability, if: (i) Netradyne receives a judicial or other governmental demand or order, subpoena or law enforcement request that expressly or by reasonable implication requires Netradyne to do so; or (ii) Netradyne believes, in its sole discretion, that: (A) Customer or any Authorized User has failed to comply with, any term of this Agreement, or accessed or used the Driveri Services beyond the scope of the rights granted or for a purpose not authorized under this Agreement or in any manner that does not comply with any instruction or requirement of the Specifications; (B) Customer or any Authorized User is, has been, or is likely to be involved in any fraudulent, misleading or unlawful activities; or (C) this Agreement expires or is terminated. This Section does not limit any of Netradyne's other rights or remedies, whether at law, in equity or under this Agreement.

Netradyne NetraDyne may, directly or indirectly, by use of any lawful means, including by use of a disabling device, suspend, terminate or otherwise deny CustomerTrial User's, any Authorized User's or any other Personperson's access to or use of all or any part of the Driveri Evaluation Services or Netradyne NetraDyne Materials, without incurring any resulting obligation or liability, if: (i) Netradyne NetraDyne receives a judicial or other governmental demand or order, subpoena or law enforcement request that expressly or by reasonable implication requires Netradyne NetraDyne to do so; or (ii) Netradyne NetraDyne believes, in its sole discretion, that: (A) Customer Trial User or any Authorized User has failed to comply with, with any term of this AgreementAgreement or the Quote, or accessed or used the Driveri Evaluation Services beyond the scope of the rights granted or for a purpose not authorized under this Agreement or the Quote or in any manner that does not comply with any instruction or requirement of the Specifications; (B) Customer Trial User or any Authorized User is, has been, or is likely to be involved in any fraudulent, misleading or unlawful activities; or (C) this Agreement or the Quote expires or is terminated. This Section does not limit any of NetradyneNetraDyne's other rights or remedies, whether at law, in equity or under this AgreementAgreement or the Quote.

Netradyne Provider may, directly or indirectly, by use of any lawful means, including and by use of a Provider disabling devicedevice or any other lawful means, suspend, terminate terminate, or otherwise deny Customer'sClient’s, any Authorized User's authorized user’s, or any other Person's ’s access to or use of all or any part of the Driveri Services or Netradyne Provider Materials, without incurring any resulting obligation or liability, if: (ia) Netradyne Provider receives a judicial or other governmental demand or order, subpoena subpoena, or law enforcement request that expressly or by reasonable implication requires Netradyne Provider to do so; or (iib) Netradyne Provider believes, in its sole discretion, that: (Ai) Customer Client or any Authorized User authorized user has failed to comply with, with any term of this Agreement, including but not limited to payment of invoices when due, or accessed or used the Driveri Services beyond the scope of the rights granted or for a purpose not authorized under this Agreement or in any manner that does not comply with any instruction or requirement of the Specificationsspecifications; (Bii) Customer Client or any Authorized User authorized user is, has been, or is likely to be involved in any fraudulent, misleading misleading, or unlawful activities; or (Ciii) this Agreement expires or is terminated. This Section does not limit any of Netradyne's Provider’s other rights or remedies, whether at law, in equity equity, or under this Agreement.

Netradyne OriTrust may, directly or indirectly, by use of any lawful means, including and by use of a disabling deviceDisabling Device or any other lawful means, suspend, terminate terminate, or otherwise deny Customer's’s, any Authorized User's ’s, or any other Person's ’s access to or use of all or any part of the Driveri Services or Netradyne OriTrust Materials, without notice and without incurring any resulting obligation or liability, if: (ia) Netradyne OriTrust receives a judicial or other governmental demand or order, subpoena subpoena, or law enforcement request that expressly or by reasonable implication requires Netradyne OriTrust to do so; (b) OriTrust determines such action is necessary with respect to unplanned technical issues; or (iic) Netradyne OriTrust believes, in its sole discretion, that: (Ai) Customer or any Authorized User has failed to comply with, with any term of this Agreement, or accessed or used the Driveri Services or a Node beyond the scope of the rights granted or for a purpose not authorized under this Agreement or in any manner that does not comply with any instruction or requirement of the SpecificationsDocumentation; (Bii) Customer or any Authorized User is, has been, or is likely to be involved in any fraudulent, misleading misleading, or unlawful activities; (iii) such action is necessary in order to preserve the security or integrity of the Services, Finigree Node Network, Finigree Smart Network or OriTrust Systems; or (Civ) this Agreement expires or is terminated. This Section 2.7 does not limit any of Netradyne's OriTrust’s other rights or remedies, whether at law, in equity equity, or under this Agreement.

Netradyne Provider may, directly or indirectly, by use of any lawful means, including and by use of a disabling deviceProvider Disabling Device or any other lawful means, suspend, terminate terminate, or otherwise deny Customer's, any Authorized User's 's, or any other Person's access to or use of all or any part of the Driveri Services or Netradyne Provider Materials, without incurring any resulting obligation or liability, if: (ia) Netradyne Provider receives a judicial or other governmental demand or order, subpoena subpoena, or law enforcement request that expressly or by reasonable implication requires Netradyne Provider to do so; or (iib) Netradyne Provider believes, in its good faith and sole discretion, that: : (Ai) Customer or any Authorized User has failed to comply with, with any term of this Agreementthese Terms of Service, or accessed or used the Driveri Services beyond the scope of the rights granted or for a purpose not authorized under this Agreement these Terms of Service or in any manner that does not comply with any instruction or requirement of the SpecificationsDocumentation; (Bii) Customer or any Authorized User is, has been, or is likely to be involved in any fraudulent, misleading misleading, or unlawful activities; or (Ciii) this Agreement these Terms of Service expires or is terminated. This Section 4.6 does not limit any of NetradyneProvider's other rights or remedies, whether at law, in equity equity, or under this Agreementthese Terms of Service.
