Common use of Suspension, Termination, and Survival Clause in Contracts

Suspension, Termination, and Survival. The Selling Group Member will suspend or terminate the Offering upon request of the Issuer or the Managing Broker Dealer at any time and will resume the Offering upon the subsequent request of the Issuer or the Managing Broker Dealer. This Agreement may be terminated by the Managing Broker Dealer at any time upon written notice to the Selling Group Member. Except as the context otherwise requires, all representations, warranties, and agreements contained in this Agreement shall be deemed to be representations, warranties, and agreements at and as of the Offering Termination Date. Furthermore, the indemnity and contribution agreements contained in Sections 7, 8, and 9 shall remain operative and in full force and effect regardless of any investigation made by the Managing Broker Dealer, the Issuer, and/or any controlling person, and shall survive the sale of, and payment for, the Securities.
