System Operation and Maintenance. The Company shall cause the Project to be operated and maintained in an efficient and business-like manner in accordance with the terms of the Project Documents.
System Operation and Maintenance. (a) The Grantor shall use commercially reasonable efforts to cause the System to be maintained in efficient working order and in accordance with industry standards and the standards set forth in Schedule 1 hereto; provided that the parties hereto agree that the specifications set forth in Schedule 1 shall not apply to Local Access or any service provided Off-Net. The Grantor represents that it will provide routine, preventive and corrective maintenance for the System in a manner at least in accordance with prudent industry standards.
(b) The Grantor shall have sole responsibility for negotiating, executing and administering contracts and all other aspects related to the construction, operation, maintenance and repair of the System.
(c) The Grantor shall initiate and coordinate planned maintenance (or shall cause such action to occur), on the System (which may include the deactivation of the affected part of the System). The Grantor shall advise the Purchaser in writing at least twenty (20) days (or such shorter period as may be agreed) prior to initiating a planned maintenance operation via E-Mail (or via the Grantor's electronic trouble ticket system when implemented), of the timing and scope of such planned maintenance operation. Within five (5) days of such notice, the Purchaser shall respond to the Grantor with regard to such planned maintenance operation and, in the event the Purchaser has objections to such planned maintenance operation, within five (5) days of the Purchaser's response, the parties shall mutually agree to a satisfactory approach to address the Purchaser's concerns and to permit the planned maintenance operation to be accomplished. The Grantor shall not be obligated to give notice of any planned or unplanned service outage that is not Service Affecting.
System Operation and Maintenance. Accordingly, Provider shall provide the O&M Services at its expense in accordance with Prudent Industry Practices, manufacturer’s requirements and warranty guidelines, requirements of the Utility and Applicable Law.

The Borrower shall, and -------------------------------- shall cause the Subsidiaries to, from and after System Final Completion, cause the System to be operated and maintained in an efficient and business-like manner in accordance with the terms of the System Contracts.
System Operation and Maintenance. 4.1 OPERATION OF THE SYSTEM. SureBeam will be solely responsible for operating the System during the term of this Agreement. Such operation shall be conducted in accordance with the Services Agreement and in accordance with all applicable regulations and in a manner consistent with good manufacturing practices. Without limiting the generality of the foregoing, SureBeam shall properly calibrate all equipment and maintain complete and accurate records of all of its treatments at the Facility. SureBeam shall accept packaged product into the facility labeled as having been electronically pasteurized and, in addition to any requirements of any applicable regulation, certify to Square-H and/or any customers of Square-H designated by Square-H that the product has in fact been electronically pasteurized in accordance with all applicable regulations and the specifications and procedures applicable thereto and approved by Square-H hereunder.
System Operation and Maintenance. The following sections of this Article 2 detail the scope of the System's Operations and Maintenance program that will be implemented during the Services Phase. The first two sections set forth the System's asset inventory and analysis program. The third and fourth sections set forth the maintenance and repair program for the System's assets and response measures instituted during emergencies. The fifth, sixth and seventh sections depict the monitoring program for the System: CMMS, Operating Center. The final section details the recycling program for the System that will be instituted throughout the Services Phase.

The Borrower shall, and -------------------------------- shall cause the Subsidiaries to, from and after any Segment or the System is Ready for Commercial Acceptance or Ready for Provisional Acceptance, cause such Segment or the System, as the case may be, to be operated and maintained in an efficient, reasonable and business-like manner in accordance with the terms of the System Contracts.
System Operation and Maintenance. 16.1 Upon Substantial Completion Seller may, in its sole discretion, elect to retain O&M Contractor to perform operation and maintenance services for the System. If Seller decides to have O&M Contractor perform such services, Seller and O&M Contractor shall enter into an operation and maintenance agreement, in the form of attached hereto as Schedule #7 (the “Operation and Maintenance Agreement”).
System Operation and Maintenance. 5.1 The Parties agree to cause their facilities at each Point of Interconnection, and their other facilities having, or which may reasonably be expected to have, an impact upon the facilities of the other Party to be operated and maintained in accordance with Good Utility Practice, applicable laws and regulations, and the applicable provisions of the ERCOT Requirements and NERC Reliability Standards.
5.2 If either Party proposes to make equipment changes or additions to (a) its equipment at a Point of Interconnection (including its system protection equipment) or (b) its system protection equipment at any other location that may affect the operation or performance of the other Party’s facilities at a Point of Interconnection, (collectively, “Changes”), such Party agrees to notify the other Party, in writing, in advance of making such proposed Changes, and the Parties will coordinate and cooperate on the assessment of the impact of such Changes on the electric systems of the Parties and the identification of any required mitigation measures (including but not limited to new or upgraded facilities). Those Changes will not be made until the required aforementioned mitigation measures have been implemented. The Parties will communicate with each other with respect to other equipment changes or additions in accordance with the ERCOT Requirements and NERC Reliability Standards.
5.3 A Party may interrupt service at a Point of Interconnection in accordance with applicable laws, regulations, and ERCOT Requirements.
5.4 Each Party will establish and maintain a control center that shall be staffed 24 hours per day, 7 days per week, with personnel capable of making operating decisions and possessing the ability to effect control of its respective transmission and distribution facilities at each Point of Interconnection (or make appropriate arrangements for a third party to establish and maintain such a control center on its behalf). For purposes of voice communications between the Parties’ transmission and distribution control centers, phone numbers will be included, and updated as necessary in the Operational Procedures and Guidelines.
