Common use of Taking of Aircraft Clause in Contracts

Taking of Aircraft. (i) If an Event of Default shall have occurred and be continuing, at the request of the Administrative Agent, the Borrower shall promptly execute and deliver to the Administrative Agent such instruments of title and other documents as the Administrative Agent may deem necessary or advisable to enable the Administrative Agent or an agent or representative designated by the Administrative Agent, at such time or times and place or places as the Administrative Agent may specify, to obtain possession of all or any part of the Mortgage Estate to which the Administrative Agent shall at the time be entitled hereunder. If the Borrower shall for any reason fail to execute and deliver such instruments and documents after such request by the Administrative Agent, the Administrative Agent may (A) obtain a judgment conferring on the Administrative Agent the right to immediate possession and requiring the Borrower to execute and deliver such instruments and documents to (or as delivered by) the Administrative Agent, to the entry of which judgment the Borrower hereby specifically consents, and (B) pursue all or part of the Mortgage Estate wherever such Mortgage Estate may be found and may peaceably enter any of the premises of the Borrower wherever it may be or be supposed to be and search for and take possession of and remove the same. All expenses of obtaining such judgment or of pursuing, searching for and taking such property shall, until paid, be secured by the Lien of the Mortgage.

(ia) If an Event of Default shall have occurred and be continuingcontinuing and the Certificates have been accelerated pursuant to Section 9.01(b) or 9.01(c) hereof, at the request of the Administrative Agent, Indenture Trustee the Borrower shall promptly execute and deliver to the Administrative Agent Indenture Trustee such instruments of title and other documents as the Administrative Agent Indenture Trustee may deem necessary or advisable to enable the Administrative Agent Indenture Trustee or an agent or representative designated by the Administrative AgentIndenture Trustee, at such time or times and place or places as the Administrative Agent Indenture Trustee may specify, to obtain possession of all or any part of the Mortgage Indenture Estate to which the Administrative Agent Indenture Trustee shall at the time be entitled hereunder. If the Borrower shall for any reason fail to execute and deliver such instruments and documents after such request by the Administrative AgentIndenture Trustee, the Administrative Agent Indenture Trustee may (Ai) obtain a judgment conferring on the Administrative Agent Indenture Trustee the right to immediate possession and requiring the Borrower to execute and deliver such instruments and documents to (or as delivered by) the Administrative AgentIndenture Trustee, to the entry of which judgment the Borrower hereby specifically consents, and (Bii) pursue all or part of the Mortgage Indenture Estate wherever such Mortgage Indenture Estate may be found and may peaceably enter any of the premises of the Borrower wherever it may be or be supposed to be or may be reasonably expected to be and search for and take possession of and remove the same. All expenses of obtaining such judgment or of pursuing, searching for and taking such property shall, until paid, be secured by the Lien of the Mortgagethis Indenture.

If the Borrower shall for any reason fail to execute and deliver such instruments and documents after such request by the Administrative Collateral Agent, the Collateral Agent, at the direction of the Lender (or the Administrative Agent on its behalf), may (A) obtain a judgment conferring on the Administrative Collateral Agent the right to immediate possession and requiring the Borrower to execute and deliver such instruments and documents to (or as delivered by) the Administrative Collateral Agent, to the entry of which judgment the Borrower hereby specifically consents, and (B) pursue all or part of the Mortgage Estate wherever such Mortgage Estate may be found and may peaceably enter any of the premises of the Borrower wherever it may be or be supposed to be and search for and take possession of and remove the same.
