TALITY HEALTH PLANS. As of the Independence Date (or such other date(s) as Cadence, the Partnership and Tality may mutually agree), the Partnership shall have established the Tality Health Plans listed on Schedule 5.1(a) and, correspondingly, the Partnership shall cease to be a Participating Company in the Cadence Health Plans. Tality shall be solely responsible for the administration of the Tality Health Plans, including the payment of all employer-related costs in establishing and maintaining the Tality Health Plans, and for the collection and remittance of employee premiums with any and all costs, expenses and liabilities for the performance of such services subject to Section 8.1.
