Common use of Tangible Items Clause in Contracts

Tangible Items. All files, records, documents, manuals, books, forms, reports, memoranda, studies, data, calculations, recordings, or correspondence, in whatever form they may exist, and all copies, abstracts and summaries of the foregoing, and all physical items related to the business of TSY or any TSY Affiliate, whether of a public nature or not, and whether prepared by Executive or not, are and shall remain the exclusive property of TSY or such TSY Affiliate, as the case may be, and shall not be removed from their premises, except as required in the course of Executive’s employment by TSY, without the prior written consent of TSY. Such items, including any copies or other reproductions thereof, shall be promptly returned by Executive upon the termination of Executive’s employment with TSY or any TSY Affiliate, or at any earlier time upon the written request of TSY.
