Target Volumes. The Parties aim to have the following numbers of Diagnostic Tests performed, Samples tested and Diagnostic Test Results sent out to Physicians by Centogene per calendar year: 2015: [*****] 2016: [*****] 2017: [*****] 2018: [*****] 2019: [*****] (each yearly target volume a “Yearly Target Volume” and collectively, the “Target Volumes”). Centogene acknowledges that Shire has no obligation to order Diagnostic Tests in the above Target Volumes or to ensure achievement of any Yearly Target Volume, but shall be obliged to make the Minimum Financial Commitment pursuant to Section 3.6(a).
Target Volumes. 5.3.1 Subject to the terms and conditions of this Agreement, for each year commencing on May 1, 2014 (such 12 month period being referred to as the “Contract Year”) and during the term of this Agreement, STR intends to purchase from Manufacturer not less than fifteen million (15,000,000) square meters of Licensed Products (hereinafter called “Annual Target Volume”).
5.3.2 In the event that STR believes that it may fail to satisfy the Annual Target Volume in any Contract Year, STR shall promptly notify Manufacturer and the Parties shall, in good faith, renegotiate the amount of the Annual Target Volume. If the Parties fail to reach a written agreement on adjustment of the Annual Target Volume within forty five (45) days upon Manufacturer receiving the written notice from STR, either Party may terminate this Agreement upon a forty five (45)-day notice without the payment of any penalties or premiums.
5.3.3 In the event that Manufacturer believes that it may not be able to supply Licensed Products to STR in accordance with the forecast delivered by STR, Manufacturer shall immediately notify STR of such fact. Notwithstanding anything to the contrary in this Agreement, STR shall be entitled to obtain any such shortfall from third parties.
Target Volumes. Subject to the terms and conditions set forth herein, Fuels and LW shall endeavor in a commercially reasonable manner to arrange for Product sales (taking into account sales to the SIP) in such volumes so that, as of the end of each calendar month, the volume of each Product held by Macquarie in the Storage Facilities is as close as reasonably practicable to the Target Month End Product Volume for such Product.
Target Volumes. Supplier will serve as Purchaser’s primary provider of the Product, with an initial monthly volume target of 2,000-3,000 kilograms. The Supplier intends to invest in additional production capacity over the next 6 months in order to double its monthly production to 5,000-6,000 kilograms and service the Purchaser’s growing requirements for Product. Supplier agrees to provide reasonable advance notice of its monthly production capacity to enable Purchaser to plan its purchases of the Product from Supplier.
Target Volumes. [15] The parties agree to negotiate in good faith to establish a target volume of Products on an annual basis (measured from the “Effective Date” of this Agreement) (“Target Volumes”), and to determine expected corresponding quarterly volumes thereof (“Quarterly Volumes”).
Target Volumes. 3.5.1. The minimum expected volume is about 50K units per year
