Tax and Securities Law Compliance. Each of the Lenders and the Agents shall also have received from Pxxxxxxx Xxxxx LLP, as counsel to the Borrowers, a favorable opinion addressed to the Lenders and the Agents, in form and substance satisfactory to each of the Lenders and the Agents, with respect to the qualification of Sovran as a REIT and certain other tax and securities laws matters.
