Tax-Free Formation. Each of the transactions involving the Holdings Common Stock and the Series A Preferred Stock hereunder are intended to be entered into as part of a single integrated plan intended to qualify under Section 351 of the Code. The Exchange and the formation of Holdings are intended to be tax-free transactions pursuant to Section 351 of the Code and corresponding state and local laws.
