Common use of Tax Lien Clause in Contracts

Tax Lien. A notice of Lien, levy or assessment is filed of record with respect to all or any assets of MIDCOM or the Obligors, or any of them, or any Affiliates of the Obligors, or any of them, by the United States or any other Governmental Authority, including, without limitation, the PBGC, which adversely affects the priority of the Liens granted to the Collateral Agent under any of the other Loan Documents.

A notice of Lien, levy or assessment is filed of record with respect to all or any assets of MIDCOM or the Obligors, Borrower or any of them, or any Affiliates of the Obligors, or any of them, its Subsidiaries by the United States or any other Governmental Authority, including, without limitation, the PBGC, which adversely affects the priority of the Liens granted to the Collateral Agent hereunder or under any of the other Loan Documents.

A notice of Lien, levy or assessment is filed of record with respect to all or any assets of MIDCOM or the Obligors, Borrower or any of them, or any Affiliates of the Obligors, or any of them, its Subsidiaries by the United States or any other Governmental AuthorityAuthority in an amount exceeding $100,000, including, without limitation, the PBGC, which adversely affects the priority of the Liens granted to the Collateral Administrative Agent hereunder or under any of the other Loan Documents.

Tax Lien. A notice of Lienlien, levy or assessment is filed of record with respect to all or any of Borrower's, Parent's or any Affiliate's assets of MIDCOM or by the ObligorsUnited States, or any of themdepartment, agency or instrumentality thereof, or by any Affiliates of the Obligorsstate, county, municipal or any of them, by the United States or any other Governmental Authoritygovernmental agency, including, without limitation, the PBGC, which in the opinion of the Agent, adversely affects the priority of the Liens liens and security interests granted to the Collateral Agent hereunder or under any of the other Loan Documents.
