TAX RETURNS AND PAYMENT OF TAXES FOR PERIODS THROUGH THE CLOSING DATE. First Xxxxxxx shall include its income on its federal income tax return for all periods up to and including the Closing Date and will pay any tax due thereon. First Xxxxxxx also shall pay its state or local income tax for all taxable periods up to and including the Closing Date. The income of First Xxxxxxx shall be apportioned for the period up to and including the Closing Date and the period after the Closing Date by closing the books of First Xxxxxxx as of the close of business on the Closing Date.

TAX RETURNS AND PAYMENT OF TAXES FOR PERIODS THROUGH THE CLOSING DATE. The Shareholders and the Company shall be responsible for, and shall cause to be prepared and timely filed, all tax returns for the Company for all Tax periods ending on or before the Closing Date, and the Shareholders and the Company (but only to the extent then wholly-owned by the Shareholders) shall cause to be paid when due all Taxes in respect of such Tax periods. The cost of the preparation of such tax returns shall be borne by the Company. All Tax Returns described in this Section 6.02(b) shall be prepared in a manner consistent with prior practice unless a past practice has been finally determined to be incorrect by the applicable taxing authority or a contrary treatment is required by applicable tax laws (or judicial or administrative interpretations thereof). The Shareholders shall cause the Company to provide Acquiror with copies of such completed Tax Returns at least 10 days prior to the filing date, and Acquiror shall be provided an opportunity to review such Tax Returns and supporting workpapers and schedules prior to the filing of such Tax Returns. In the event that the amount of any Taxes for Tax periods ending on or before the Closing Date, or for which the Shareholders are otherwise responsible pursuant to Section 6.03(c)(iii), exceeds the amount accrued on the Balance Sheet, the Shareholders, jointly and severally, shall pay to Acquiror such excess within ten (10) days after written notice thereof by Acquiror. Acquiror shall prepare or cause to be prepared and filed all Tax Returns for the Company for all Tax periods ending after the Closing Date.

With respect to any non-Consolidated Return required to be filed by Buyer or Seller with respect to the Company and the Subsidiaries and as to which an amount of Tax is allocable to the other party under Section 7.1(b), the filing party shall provide the other party and its authorized representatives with a copy of such completed Tax Return and a statement of the amount of Tax shown on such Tax Return that is allocable to such other party pursuant to Section 7.1(b), together with appropriate supporting information and schedules at least fifteen (15) days prior to the due date (including any extension thereof) for the filing of such Tax Return, and such other party and its authorized representatives shall have the right to review and comment on such Tax Return and statement prior to the filing of such Tax Return.

  • Payment of Taxes, Assessments, etc The Servicer (other than with respect to a Foreclosed Property) and the Special Servicer (with respect to any Foreclosed Property) shall maintain accurate records with respect to the Property (or such Foreclosed Property, as the case may be) reflecting the status of real estate taxes, assessments, charges and other similar items that are or may become a lien on the Property (or such Foreclosed Property, as the case may be) and the status of insurance premiums payable in respect of insurance policies required to be maintained pursuant to Section 3.11 hereof. The Servicer shall obtain, from time to time, all bills for the payment of such items (including renewal premiums). The Servicer shall pay real estate taxes, assessments and charges, insurance premiums, ground rent, operating expenses and other similar items from funds in the applicable Reserve Account in accordance with the Mortgage Loan Agreement at such time as may be required by the Mortgage Loan Documents. If the Borrower Related Parties do not make the necessary payments and/or a Mortgage Loan Event of Default has occurred and amounts in the applicable Reserve Account are insufficient to make such payments, the Servicer shall make a Property Protection Advance, subject to the determination of non-recoverability provided in Section 3.23, from its own funds for amounts payable with respect to all such items related to the Property when and as the same shall become due and payable. The Servicer shall ensure that the amount of funds in the applicable Reserve Account is increased when and if applicable taxes, assessments, charges and other similar items, ground rents or insurance premiums are increased, in accordance with the terms of the Mortgage Loan Agreement.

  • Tax Returns and Tax Payments (i) The Company has timely filed with the appropriate taxing authorities all Tax Returns required to be filed by it (taking into account all applicable extensions). All such Tax Returns are true, correct and complete in all respects. All Taxes due and owing by the Company has been paid (whether or not shown on any Tax Return and whether or not any Tax Return was required). The Company is not currently the beneficiary of any extension of time within which to file any Tax Return or pay any Tax. No claim has ever been made in writing or otherwise addressed to the Company by a taxing authority in a jurisdiction where the Company does not file Tax Returns that it is or may be subject to taxation by that jurisdiction. The unpaid Taxes of the Company did not, as of the Company Balance Sheet Date, exceed the reserve for Tax liability (excluding any reserve for deferred Taxes established to reflect timing differences between book and Tax income) set forth on the face of the financial statements (rather than in any notes thereto). Since the Company Balance Sheet Date, neither the Company nor any of its subsidiaries has incurred any liability for Taxes outside the ordinary course of business consistent with past custom and practice. As of the Closing Date, the unpaid Taxes of the Company and its subsidiaries will not exceed the reserve for Tax liability (excluding any reserve for deferred Taxes established to reflect timing differences between book and Tax income) set forth on the books and records of the Company.
