Common use of Tax Sharing Agreements; Powers of Attorney Clause in Contracts

Tax Sharing Agreements; Powers of Attorney. All (i) Tax sharing agreements or similar agreements, written or unwritten (other than those provided by this Agreement), with respect to or involving the Target Subsidiaries or the Targeted Businesses and (ii) powers of attorney granted by or on behalf of the Target Subsidiaries or the Targeted Businesses with respect to any matter relating to Taxes shall be terminated as of the Closing Date and, after the Closing Date, the Target Subsidiaries or the Targeted Businesses shall not be bound thereby or have any liability thereunder.
