Technical Service. 2.1 State Harvest Biotechnology shall provide, with its own technical research resource and team, according to the terms of this agreement, technical services for the production and distribution of agricultural seeds during the period of this agreement, included but not limited: 2.1.1. providing to Beijing Origin Seed technical service and support in relation to research and development of agricultural seeds during the process of agricultural seeds production, including analysis of professional breeding technology and environment and feasibility suggestions, technical tutorials, revisit and supervision at Beijing Origin Seed's breeding field,
Technical Service. 5.1 Except the circumstances as set out in Article 2.2 or Article 2.3 of this Agreement, any technical service (including but not limited to, technical support, technical training, technical consulting, Internet Information Service Business, etc.; for details see Appendix I (Technical Service Content) of this Agreement) as required during the course of business operated by Party B (including but not limited to, Internet Information Service Business, Mobile Value-added Telecommunication Business, Online Advertising Business, etc.) shall be rendered by Party A on an exclusive basis, and Party A shall make best endeavors to supply to Party B relevant technical service as required in the course of business of Party B. 5.2 Party B must provide Party A all necessary service for Party A’s technical services, including but not limited to: 5.2.1 urge its employees to take proper, reasonable due diligence when using and operating the system and the equipment; 5.2.2 inform Party A without any delay of any circumstance that may affect the business operation of Party B; 5.2.3 allow Party A and its authorized persons to access any site owned or rented by Party B that stores any system or equipment relating to its business operation at any reasonable time; 5.2.4 provide any other necessary service. 5.3 The parties agree that, if necessary, they will enter into the technical service agreement in respect of the detailed contents of various technical services during the term of this Agreement, in which the items of various technical services, service method, technical personnel etc. will be stipulated or adjusted accordingly under the framework of this Agreement. 5.4 For technical services rendered by Party A, both parties agree that the technical service fee shall be based on the quantity of work performed which is measured by time costs incurred by Party A’s engineers. The time cost are as below: 5.4.1 Technical services rendered by senior engineer of Party A are charged and paid at RMB4,000 yuan per hour per head; 5.4.2 Technical services rendered by middle-level engineer of Party A are charged and paid at RMB2,000 yuan per hour per head; 5.4.3 Technical services rendered by junior engineer of Party A are charged and paid at RMB1,000 yuan per hour per head; 5.5 Within the first five working days of each month, Party A shall based on the work hours performed by its engineers during the preceding month and the time costs as set out in this Agreement calculate the technical...

Technical Service. 4.1 Ricoh, or a party designated by Ricoh, will take care of setting up, configuring and testing of the equipment or shall provide the Client with information on putting the equipment to use. 4.2 Ricoh shall keep the equipment in working condition and perform all necessary repair- and service activities. To this end, Ricoh shall provide access to technical service staff, during Ricoh's business hours, within twelve hours after a report of the Client stating that the equipment does not function properly. Ricoh is authorised to contract third parties to perform the activities referred to in this article. 4.3 The Client is obliged to take the measures that are needed to ensure that the equipment can be easily installed and serviced. With respect to the designated location for installation and service, the Client hereby declares that it shall comply with the specifications as stated in the manual(s) accompanying the equipment. The Client is responsible for the correct selection and the timely and adequate availability of telecom facilities, including internet, except for those facilities which are under direct use and management of Ricoh. Ricoh shall never be liable for damage or costs due to transmission errors, failures or the unavailability of these facilities. 4.4 Ricoh shall deploy all appropriate resources to monitor the reliability of the data transferred using the @Remote service and the availability of @Remote-service, but cannot be held liable if the portal is unavailable. Ricoh provides to the Client of the extranet site a number of security tools, such as access codes and certificates. The Client is responsible for the necessary tools to maintain the desired security level, for instance with the protection of passwords. 4.5 With the all-in Lease Agreement, the replacement of parts and performance of service and repair activities are not payable by the Client, except for damages and negligence of the Client that lead to a shortening of the lifetime of (parts) of the equipment andlor cause costs due to incorrect use. Parties expressly agree that all repairs, adjustments, movements, connections to other equipment or configurations performed by anyone other than persons authorised by Ricoh releases Ricoh of all obligations arising out of this Agreement. 4.6 In the event of use by the Client of other parts, paper or consumables than those supplied or approved by Ricoh, the Client is obliged to compensate all damage caused to Ricoh as a result thereof an...
