Temporary Failure To Meet. Job Retention - In the event the number of Xxxxxxx-Xxxxxxxx' employees falls below two hundred sixty four (264), but remains at least two hundred twenty five (225) full-time jobs at the facility (85% of 264 full-time employees required by this agreement) due to normal attrition, that event will not be used as a basis for tenninating this agreement or requiring repayment of a pro-rata portion of the incentive funds unless Xxxxxxx-Xxxxxxxx does not reasonably attempt to fill the vacant positions through its normal hiring processes. Xxxxxxx-Xxxxxxxx will provide documentation reasonably required by WMCEDC to verify Xxxxxxx-Xxxxxxxx' reasonable attempt to fill those vacant positions.

  • Epidemic Failure Remedy If an Epidemic Failure occurs, all costs, including but not limited to, replacement Products, parts, upgrades, materials, labor, transportation and inventory replacement arising from an Epidemic Failure shall be borne by Supplier, regardless of whether DXC initiates a field stocking recall or customer-based recall or retrofit, including Products in distributor inventory and DXC’s installed base. Supplier, at its expense, will ensure that such Products, parts or upgrades have the highest shipping priority. DXC reserves the right to procure, upon terms it deems appropriate, similar products to substitute the affected Products, and Supplier shall promptly reimburse DXC for all costs, charges, prices and fees paid in purchasing the substitute products.

  • Temporary Roads As necessary to attain stabilization of roadbed and fill slopes of Temporary Roads, Purchaser shall employ such measures as out- sloping, drainage dips, and water-spreading ditches. After a Temporary Road has served Purchaser’s pur- pose, Purchaser shall give notice to Forest Service and shall remove bridges and culverts, eliminate ditches, out- slope roadbed, remove ruts and berms, effectively block the road to normal vehicular traffic where feasible under existing terrain conditions, and build cross ditches and water bars, as staked or otherwise marked on the ground by Forest Service. When bridges and culverts are re- moved, associated fills shall also be removed to the ex- tent necessary to permit normal maximum flow of water.

  • Temporary Disconnection Temporary disconnection shall continue only for so long as reasonably necessary under Good Utility Practice.

  • Temporary Work 17.01 (a) Employees shall perform any temporary work which the Management directs with the understanding that when an employee is assigned to a job with a lesser rate of pay, he shall receive his regular rate of pay.

  • Failure to Make Payment In the event a participating Authorized User fails to make payment to the Contractor for Products delivered, accepted and properly invoiced, within thirty calendar days of such delivery and acceptance, the Contractor may, upon five business days advance written notice to both the Commissioner and the Authorized User’s purchasing official, suspend additional shipments of Product or provision of services to such entity until such time as reasonable arrangements have been made and assurances given by such entity for current and future Contract payments.
