Common use of Tenant’s Right to Assign Clause in Contracts

Tenant’s Right to Assign. Tenant may assign its rights hereunder or sublease all or a portion of the Premises without Landlord's prior written approval provided that Tenant shall remain liable for all liabilities and obligations arising under this Lease. Notwithstanding the foregoing, if Tenant has assigned or subleased its rights under this Lease to any party other than an affiliate or subsidiary of Tenant, then, to the extent that the rent paid by any such other party exceeds the Rent and other amounts, if any, required to be paid by Tenant under the terms of this Lease, fifty percent (50%) of such excess amounts shall be paid to Landlord upon the receipt of same by Tenant.
