TERM AND SCOPE OF THE CIA. A. The period of the compliance obligations assumed by Parkland under this CIA shall be five years from the effective date of this CIA. The “Effective Date” shall be the date on which the final signatory of this CIA executes this CIA. Each one-year period, beginning with the one-year period following the Effective Date, shall be referred to as a “Reporting Period.” B. Sections VII, X, and XI shall expire no later than 120 days after OIG’s receipt of: (1) Parkland’s final annual report; or (2) any additional materials submitted by Parkland pursuant to OIG’s request, whichever is later. C. The scope of this CIA shall be governed by the following definitions: 1. “Covered Persons” includes: a. all owners, officers, managers, and employees of Parkland; b. all contractors, subcontractors, agents, and other persons who provide patient care items or services or who perform billing or coding functions on behalf of Parkland, excluding vendors whose sole connection with Parkland is selling or otherwise providing medical supplies or equipment to Parkland and who do not bill the Federal health care programs for such medical supplies or equipment; and c. all physicians and other non-physician practitioners who are members of Parkland’s active medical staff. Notwithstanding the above, this term does not include part-time or per diem employees, contractors, subcontractors, agents, and other persons who are not reasonably expected to work more than 160 hours per year, except that any such individuals shall become “Covered Persons” at the point when they work more than 160 hours during the calendar year. 2. “Billing and Reimbursement Covered Persons” includes all Covered Persons involved, directly or in a supervisory role, in the preparation or submission of claims for reimbursement from, or cost reports to, any Federal health care program.

The scope of this CIA shall be governed by the following definitions: 1. “Odyssey Hospice” includes Odyssey and all hospices owned or operated by Odyssey or Parent. 2. “Covered Persons” includes: a. all owners, officers, managersdirectors, and employees of ParklandOdyssey and Odyssey Hospice; b. all contractors, subcontractors, agents, Parent employees, and other persons who provide (including medical directors and associate medical directors) whose job responsibilities involve, either directly or in a supervisory role, the provision of patient care items or services or who perform the performance of billing or coding functions on behalf of ParklandOdyssey Hospice, excluding Parent’s financial services unit employees whose responsibilities with respect to Odyssey Hospice are limited to the ministerial tasks Odyssey Corporate Integrity Agreement of submitting and tracking claims and vendors whose sole connection with Parkland Odyssey Hospice is selling or otherwise providing medical supplies or equipment to Parkland Odyssey Hospice and who do not bill xxxx the Federal health care programs for such medical supplies or equipment; and c. all physicians and other non-physician practitioners who are members Parent officers or employees whose job responsibilities involve, directly or indirectly, the provision of Parkland’s active medical stafflegal, compliance, or audit services to Odyssey Hospice. For purposes of this CIA, the term (1) “Board” shall mean the Boards of Directors of The Beaver Medical Clinic (the governing body of BMGLP), EPIIC (the governing body of EPIC Management), and who do not bill EHP, and (2) “Board members” or “directors” shall mean the Federal health care programs for such medical supplies or equipment; and c. all physicians and other non-physician practitioners who are individual members of Parkland’s active medical staffthe three Boards of Directors referenced immediately above. Notwithstanding For purposes of this CIA, the abovethree Boards of Directors will have the option to meet, this term does not include part-time or per diem employees, contractors, subcontractors, agentsdeliberate, and other persons who are not reasonably expected to work more than 160 hours per yearact together on applicable matters as if the three Boards were a single, unified Board, provided that all such meetings, deliberations, and actions must be attended by and benefit from the participation of a quorum of each of the three Boards, except that any such individuals shall become “Covered Persons” at where the point when they work more than 160 hours during CIA requires participation by all Board members (e.g., CIA related resolutions will be passed by all of the calendar yearmembers of the three Boards of Directors and be binding on each of the Boards, as applicable). 2. “Billing and Reimbursement Covered Persons” includes all Covered Persons involved, directly or in a supervisory role, in the preparation or submission of claims for reimbursement from, or cost reports to, any Federal health care program.
