TERM AND SCOPE OF THE CIA. A. The period of the compliance obligations assumed by Health Quest under this CIA shall be five years from the effective date of this CIA. The “Effective Date” shall be the date on which the final signatory of this CIA executes this CIA. Each one- year period, beginning with the one-year period following the Effective Date, shall be referred to as a “Reporting Period.” B. Sections VII, X, and XI shall expire no later than 120 days after OIG’s receipt of: (1) Health Quest’s final Annual Report or (2) any additional materials submitted by Health Quest pursuant to OIG’s request, whichever is later. C. For purposes of this CIA, the term “Covered Persons” includes: (1) all owners who are natural persons, officers, directors, and employees of Health Quest; and (2) all contractors, subcontractors, agents, and other persons who furnish patient care items or services or who perform billing or coding functions on behalf of Health Quest excluding vendors whose sole connection with Health Quest is selling or otherwise providing medical supplies or equipment to Health Quest. Notwithstanding the above, this term does not include part-time or per diem employees, contractors, subcontractors, agents, and other persons are not reasonably expected to work more than 160 hours during a Reporting Period, except that any such individuals shall become “Covered Persons” at the point when they work more than 160 hours during a Reporting Period.

Notwithstanding the above, this term does not include part-time or per diem employees, contractors, subcontractors, agents, and other persons who are not reasonably expected to work more than 160 hours during a Reporting Period, except that any such individuals shall become “Covered Persons” at the point when they work more than 160 hours during a Reporting Period.

For purposes of this CIA, the term “"Covered Persons” " includes: : (1) all owners of VITAS who are natural persons, persons (other than shareholders who: (i) have an ownership interest of less than 5% and (ii) acquired the ownership interest through public trading); (2) all officers, directors, and employees of Health QuestVITAS; and (23) all contractors, subcontractors, agents, and other persons who furnish patient care items or services or who perform billing or coding functions on behalf of Health Quest VITAS, excluding vendors whose sole connection with Health Quest VITAS is selling or otherwise providing medical supplies or equipment to Health QuestVITAS; (4) all physicians and other non-physician practitioners who are members of VITAS' active medical staff. Notwithstanding the above, this term does not include part-time or per diem employees, contractors, subcontractors, agents, and other persons who are not reasonably expected to work more than 160 hours during a Reporting Period, except that any such individuals shall become “"Covered Persons” " at the point when they work more than 160 hours during a Reporting Period.

For purposes of this CIA, the term “Covered Persons” includes: : (1) all owners who are natural personsowners, officers, directors, and employees of Health QuestGuardian; and (2) all contractors, subcontractors, agents, and other persons who furnish patient care items or services or who perform billing or coding functions on behalf of Health Quest Guardian, excluding vendors whose sole connection with Health Quest Guardian is selling or otherwise providing medical supplies or equipment to Health Quest. Guardian; and (3) all physicians and other non-physician practitioners who are members of Guardian’s active medical staff.‌ Notwithstanding the above, this term does not include part-time or per diem employees, contractors, subcontractors, agents, and other persons who are not reasonably expected to work more than 160 hours during a Reporting Period, except that any such individuals shall become “Covered Persons” at the point when they work more than 160 hours during a Reporting Period.”‌

For purposes of this CIA, the term “Covered Persons” includes: : (1) all owners who are natural personsowners, officers, directors, and employees of Health QuestPFH who are engaged in or who supervise personnel who are engaged in Covered Functions (as defined below); and and (2) all contractors, subcontractors, agents, and other persons who furnish perform any of the Covered Functions on behalf of PFH. The term “Covered Functions” includes (1) the furnishing, ordering or prescribing of patient care items or services that are reimbursed by Federal health care programs; and (2) billing, coding or who perform billing or coding functions on behalf of Health Quest excluding vendors whose sole connection with Health Quest is selling or otherwise providing medical supplies or equipment to Health Questclaims submission for items and services that are reimbursed by Federal health care programs. Notwithstanding the above, this term does Covered Persons shall not include part-time or per diem employees, contractors, subcontractors, agents, and agents or other persons who are not reasonably expected to work more than 160 hours during a Reporting Periodyears per year, except that any such individuals shall become “Covered Persons” at the point when Persons if they work more than 160 hours during a Reporting Period.

For purposes of this CIA, the term “Covered Persons” includes: : (1) all owners who are natural personsowners, officers, directors, and employees of Health QuestApria; and and (2) all contractors, subcontractors, agents, and other persons who furnish patient care items or services or who perform billing or coding functions on behalf of Health Quest Apria, excluding vendors whose sole connection with Health Quest Apria is selling or otherwise providing medical supplies or equipment to Health QuestApria. Notwithstanding the above, this the term “Covered Persons” does not include part-time or per diem employees, contractors, subcontractors, agents, and other persons who are not reasonably expected to work for Apria more than 160 hours during a Reporting Period, except that any such individuals individual shall become a “Covered PersonsPerson” at the point when they work for Apria more than 160 hours during a Reporting Period.
