Common use of Term of Licenses Clause in Contracts

Term of Licenses. The licenses granted in Section 1(b) shall commence upon the delivery of the ES&S Software described in Section 1(b) and shall continue for a one (1) year period (the “Initial License Term). Upon expiration of the Initial License Term, the licenses shall automatically renew for an unlimited number of successive one-year periods (each a “License Renewal Term”) upon the payment by Customer of the annual software license and software maintenance and support fee as set forth on the front side of this Agreement. ES&S may terminate either license if Customer fails to pay the consideration due for, or breaches Sections 1(b), 2, 3, or 8 with respect to, such license. Upon the termination of either of the licenses granted in Section 1(b) for ES&S Software or upon Customer’s discontinuance of the use of any ES&S Software, Customer shall immediately return such ES&S Software and the related Documentation (including any and all copies thereof) to ES&S, or (if requested by ES&S) destroy such ES&S Software and Documentation and certify in writing to ES&S that such destruction has occurred.

Term of Licenses. The licenses granted in Section 1(b) 2.2 shall commence upon the delivery of the ES&S Software described in Section 1(b) 2.2 and shall continue for a one (1) year period the Initial Term of the Agreement (the “Initial License Term”). Upon expiration of the Initial License Term, the licenses shall automatically renew for an unlimited number of successive one-year periods (each a “License Renewal Term”) upon the payment by Customer of the annual software license and software maintenance and support fee as set forth on the front side of this Agreement. Exhibit A. ES&S may terminate either the license if Customer fails to pay the consideration due for, or breaches Sections 1(b)2.2, 2, 32.5, or 8 3.6 with respect to, such license. Upon the termination of either of the licenses granted in Section 1(b) 2.2 for ES&S Software or upon Customer’s discontinuance of the use of any ES&S Software, Customer shall immediately return such ES&S Software and the related Documentation (including any and all copies thereof) to ES&S, or (if requested by ES&S) destroy such ES&S Software and Documentation and certify in writing to ES&S that such destruction has occurred.

Upon expiration of the Initial License Term, the licenses shall automatically renew for an unlimited number of successive one-year periods (each a “License Renewal Term”) upon the payment by Customer of the annual software license and software maintenance and support fee as set forth on the front side Purchase Order and Schedule A1 of this Agreement. Exhibit A. ES&S may terminate either license if Customer fails to pay the consideration due for, or breaches Sections 1(b)2.1, 2, 32.2, or 8 2.5 with respect to, such license. Upon the termination of either of the licenses granted in Section 1(b) 2.1 for ES&S Software or upon Customer’s discontinuance of the use of any ES&S Software, Customer shall immediately return such ES&S Software and the related Documentation (including any and all copies thereof) to ES&S, or (if requested by ES&S) destroy such ES&S Software and Documentation and certify in writing to ES&S that such destruction has occurred.

Upon expiration of the Initial License Term, the licenses shall automatically renew for an unlimited number of successive one-year periods (each a “License Renewal Term”) upon the payment by Customer of the annual software license and software maintenance and support fee as set forth on the front side of this Agreementwhich will be in a separate agreement. ES&S may terminate either license any of the licenses granted hereunder if Customer fails to pay the consideration due for, or breaches Sections 1(b2(b), 2, 3, or 8 9 with respect to, such licenselicenses. Upon the termination of either any of the licenses granted in Section 1(b2(b) for ES&S Software or upon Customer’s discontinuance of the use of any ES&S Software, Customer shall immediately return such ES&S Software and the related Documentation (including any and all copies thereof) to ES&S, or (if requested by ES&S) destroy such ES&S Software and Documentation and certify in writing to ES&S that such destruction has occurred.

ES&S may terminate either license if Customer fails to pay the consideration due for, or breaches Sections 1(b), 2, 3, or 8 9 with respect to, such license.
