Common use of Term of Subscriptions Clause in Contracts

Term of Subscriptions. The Initial Subscription of each Subscription is as specified on the relevant Order Form and starts on the date: (a) We tell you a relevant account is active; (b) you download the On-Premise Software; or (c) 5 calendar days after you (or a Reseller on your behalf) sign(s) or otherwise indicate(s) acceptance of a relevant Order Form (whichever is earliest). Unless otherwise stated in an Order Form, Subscriptions automatically renew for a further 12-month period (a Renewal) unless either party has given the other not less than 60 calendar days’ notice prior to its expiry to cancel it on expiry. We may increase Fees applicable to any Renewal by up to 5% unless We provide you, either directly or through a Reseller, with notice at least 90 days’ prior a relevant renewal date of a different increase (the limit on increases shall not apply to any increase caused by an increase in the number of Subscriptions purchased). Any promotional pricing that was offered during an Initial Subscription will not apply to any Renewal unless We agree in writing and any such Renewals will be in accordance with Our current list price. Notices given by Us under this Section may be accomplished by email or electronically submitted invoice or notice.
