Terminated Non-Vested Employees. Notwithstanding anything herein to the contrary, the Duke Energy Retirement Plan will retain all Liabilities (if any) earned under the Duke Energy Retirement Plan in respect of any individual who becomes employed by any member of the Spectra Energy Group following the Distribution Date and whose employment with the Duke Energy Group terminated on or before the Distribution Date with no vested benefit under the Duke Energy Retirement Plan.
