Affected Employees. The Employer shall first determine by job classification the number of employees or FTEs to be affected by the layoff. The least senior employee within the affected job classification shall be selected for layoff. The exception would be only when the Employer determines that the position requires unique qualifications and abilities necessary to perform the specialized and required functions of that position, which would then become an overriding factor.

(c) Vendor represents and warrants that it shall pay [*]% of the target bonuses set forth in EXHIBIT F--BONUSES to all Affected Employees who [*] Confidential portions omitted and filed separately with the Securities and Exchange Commission. are still in Vendor's employment as of [*], and that it shall inform the Affected Employees of its obligation under this Agreement to make such bonus payment no later than the Effective Date. If Vendor terminates any Affected Employee without cause prior to or on [*], Vendor shall pay the Affected Employee [*]% of the Affected Employee's target bonus at the time of the Affected Employee's termination. Vendor will not be obligated to pay any bonus to any Affected Employee who (1) voluntarily resigns from employment with Vendor prior to [*], (2) is dismissed by Vendor for misconduct (e.g., fraud, drug abuse, theft) or unsatisfactory performance in respect of his or her duties and responsibilities to Customer or Vendor, or (3) is unable to perform his or her duties due to his or her death or disability. Vendor may elect to pay such bonuses in the form of [*], if agreeable to the Affected Employee in his or her sole discretion.
Affected Employees. If no reasonable effort will alleviate the problem of supervision, safety, security or morale, the City will determine whether, and under what circumstances, an employee may be permitted to remain in his/her current position. In applying this paragraph, the City will choose which of the employees will be affected, with primary consideration given to the operational needs of the City, including interests of economy, efficiency and effectiveness, and giving consideration to the work history and seniority of the employees affected.
Affected Employees. (a) Provider will offer employment to each of the individuals listed on the AFFECTED EMPLOYEES SCHEDULE (SCHEDULE D). The offers to be made to each of the Affected Employees by Provider will be as described on the AFFECTED EMPLOYEE ARRANGEMENTS SCHEDULE (SCHEDULE J). Additional details regarding the treatment of Affected Employees are included in the AFFECTED EMPLOYEE ARRANGEMENTS SCHEDULE (SCHEDULE J).
(b) All costs and expenses incurred by Provider in connection with the offer to employ and the employment of the Affected Employees shall be the responsibility of Provider. Provider will promptly reimburse Company for the amount of salary and benefit costs incurred by Company, if any, with respect to the Affected Employees after the Process Take-On Date for the period until they receive offers and they reject such offers, such offers expire or the Affected Employees become Provider employees if and only if Provider requests that Company retains such employees beyond the Process Take-On Date.
