Termination and Windup. If Customer defaults on any obligation under this Agreement, including failure to make payment for Raw Material on a timely basis pursuant to a Confirmation, (i) Customer hereby agrees to indemnify and hold Supplier harmless from any losses, costs, claims, expenses or damages suffered by Supplier as a result of such default, and (ii) Supplier shall have the right without further liability hereunder to terminate this Agreement and any amounts due to Supplier from Customer under the terms of this Agreement shall become immediately due and payable.
