Common use of Termination; Assignment Clause in Contracts

Termination; Assignment. This Agreement shall be terminable without penalty upon 30 days' written notice to us by you and upon 10 days' written notice to you by us; provided, however, that any termination of this Agreement shall not affect any unpaid obligations under this Agreement and you shall be entitled to receive all fees earned up to and including the effective date of termination. This Agreement shall not be assignable by either us or you without the prior written consent of the Funds. Nothing in this Agreement is intended to confer upon any person other than the parties hereto and their permitted assigns and successors any rights or remedies under or by reason of this Agreement.
